A\n              corporation or other entity will be regarded as in “control” of\n              another corporation or entity if it owns or directly or\n              indirectly controls more than fifty percent (50%) of the voting\n              stock or other ownership interest of the other corporation or\n              entity, or if it possesses, directly or indirectly, the power to\n              direct or cause the direction of the management and policies of\n              the corporation or other entity.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.2. “Agreement” means the Enterprise Subscription Agreement,\n              which consists of: (a) these Terms of Service; (b) each\n              mutually-executed Order Form.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.3. “Administrative Users” means Customer’s and its Affiliates’\n              employees, agents, directors, subcontractors, or other\n              representatives who are authorized to access and use Services\n              for the purposes of administering Customer’s and/or its\n              Affiliates’ use of such Services.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.6. “Customer” means the Customer set forth in the Order Form.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.7. “Customer Account Information” means the information\n              Customer provides upon subscribing to the Service, audit logs,\n              and Customer account settings.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.8. “Customer Content” means any files, software, scripts,\n              multimedia images, graphics, audio, video, text, data, or other\n              objects originating or transmitted from or processed by any\n              Internet Properties owned, controlled or operated by Customer or\n              uploaded by Customer through the Service, and routed to, passed\n              through, processed and/or cached on or within, TinyURL’s network\n              or otherwise transmitted or routed using the Service by\n              Customer.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.9. “Customer Data” means collectively, Customer Account\n              Information, Customer Content and Customer Logs.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.10. “Customer Feedback” means suggestions, enhancement\n              requests, recommendations or other feedback provided by Customer\n              relating to the operation or functionality of the Service.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.11. “Customer Logs” means any logs of End Users’ interactions\n              with Customer’s Internet Properties and the Service that are\n              made available to Customer via the Service dashboard or other\n              online interface during the Term by TinyURL.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v('\n              1.12. “Customer Support and Service Level Agreement” or "SLA"\n              means TinyURL’s standard enterprise customer support terms and\n              service level agreement, as set forth at\n              '),t("router-link",{attrs:{to:{name:"service-level-agreement"}}},[t("span",[e._v("https://tinyurl.com/app/service-level-agreement/")])]),e._v(". Unless otherwise specified in the Order Form, the “Standard\n              Plan” set out in the SLA applies.\n            ")],1),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.13. “Documentation” means all printed and online user manuals\n              and other technical materials relating to the Services made\n              available to Customer by TinyURL, as may be updated from time to\n              time.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.14. “Effective Date” means the date upon which both Parties\n              have executed the initial Order Form between the Parties.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"}
1,[e._v("\n              1.15. “End User” means a third-party visitor to Customer’s\n              Internet Properties and Customer’s employees, agents, or\n              contractors who access or use the Services.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.16. “Initial Term” means the initial term for the Customer’s\n              use of any Service as specified in the initial Order Form,\n              beginning on the Service Date.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.17. “Intellectual Property Rights” means any and all now known\n              or hereafter existing worldwide: (a) rights associated with\n              works of authorship, including copyrights, mask work rights, and\n              moral rights; (b) trademark or service mark rights; (c) trade\n              secret rights; (d) patents, patent rights, and industrial\n              property rights; (e) layout design rights, design rights, and\n              other proprietary rights of every kind and nature other than\n              trade dress, and similar rights; and (f) all registrations,\n              applications, renewals, extensions, or reissues of the\n              foregoing.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.18. “Internet Properties” means a website, including any\n              domain or subdomain thereof, network, or any Internet connected\n              application.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.19. “Laws” means any domestic, foreign, local, state, national\n              and supranational laws, regulations and treaties applicable to\n              the respective Party.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.20. “Malicious Code” means viruses, worms, time bombs, Trojan\n              horses, and other malicious code, files, scripts, or software.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.21. “Network Data” means all models, observations, reports,\n              analyses, statistics, databases and other information created,\n              compiled, analyzed, generated or derived by TinyURL from server,\n              network or traffic data generated by TinyURL in the course of\n              providing the Service.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.22. “Order Form” means TinyURL’s generated order form(s)\n              and/or insertion orders for Services under the Agreement.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v('\n              1.23. “Party” or “Parties" means TinyURL and/or Customer, as\n              applicable.\n            ')]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.24. “Personal Data” means all data defined as ‘personal data’\n              under EU and UK Data Protection Laws and all data defined as\n              ‘personal information’ under the CCPA.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.25. “Renewal Term” means each recurring twelve (12) month\n              period following expiration of the Initial Term, unless a\n              different time period is specified in the Order Form.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.26. “Service(s)” means TinyURL’s cloud-based solutions for URL\n              shortening and link management, along with any software made\n              available by TinyURL in connection with such services, including\n              software development kits and application programming\n              interfaces.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.27. “Service Date” means the service date specified in the\n              Order Form on which TinyURL will make the Services set out in\n              the relevant Order Form available to Customer.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"}
1,[e._v("\n              1.29. “Term” means the period of time from the Effective Date,\n              including the Initial Term and all Renewal Terms, until the\n              expiration or termination of the Agreement.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.30. “Terms of Service” means these TinyURL Enterprise\n              Subscription Terms.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.31. “TinyURL” means TinyURL, LLC.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              1.32. “TinyURL Technology” means the Service, the Documentation,\n              and any of TinyURL’s proprietary technology, including, without\n              limitation, any software, processes, scripts, algorithms, user\n              interfaces, know-how, technologies, designs, and/or other\n              tangible or intangible technical material or information that\n              TinyURL makes available to Customer during the course of\n              providing the Service, together with all updates thereto and all\n              Intellectual Property Rights therein.\n            ")])])]),e._v(" "),t("div",{staticClass:"col-12"},[t("h2",[e._v("2. Access, Use, and Restrictions")]),e._v(" "),t("ol",{staticClass:"list-unstyled pl-3 mb-4"},[t("li",{staticClass:"mb-3"},[e._v("\n              2.1. Access and Use Rights. Subject to Customer’s compliance\n              with the terms and conditions of the Agreement (including,\n              without limitation, all payment obligations), TinyURL hereby\n              grants Customer and its Administrative Users a right to access\n              and use the Services listed in the Order Form(s) and any related\n              TinyURL Technology to the extent necessary to access and use\n              such Services during the Term solely for Customer’s internal\n              business purposes, and solely in accordance with the\n              Documentation and the Agreement, and any other restrictions or\n              obligations mutually agreed upon in writing by the Parties.\n              Customer’s Affiliates, if any, included in an Order Form may\n              access and use the Services subject to the same terms and\n              conditions as Customer, provided that Customer will remain\n              liable for payment of all Fees (as defined in Section 3.1) and\n              its indemnification obligations under Section 10\n              (Indemnification). Customer will cause such Affiliates to comply\n              with the Agreement as if they were Customer and any reference to\n              “Customer” will be read to include such Affiliates. Any breach\n              of the Agreement by an Affiliate of Customer or their respective\n              Administrative Users, or other representatives will be deemed a\n              breach by Customer of the Agreement and Customer will be liable\n              for such breach as if itself had breached the Agreement.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              2.2. Proprietary Rights. As between Customer, TinyURL, and\n              TinyURL’s licensors, TinyURL and/or its licensors own all right,\n              title and interest to the TinyURL Technology. Except for the\n              limited rights expressly granted to Customer hereunder, TinyURL\n              reserves all rights, title and interest in and to the TinyURL\n              Technology. Customer hereby grants, and, if applicable, will\n              cause all Affiliates to grant, TinyURL a non-exclusive,\n              royalty-free, worldwide, transferable, irrevocable,\n              sublicensable, perpetual, license to use or incorporate into the\n              TinyURL Technology any Customer Feedback. All Customer Feedback\n              is provided by Customer on an “AS IS” basis without warranty or\n              indemnity of any kind. “TinyURL”, and any other product and\n              service names and logos used or displayed in or on the Services\n              are registered or unregistered trademarks of TinyURL\n              (collectively, “TinyURL Marks”), and may not be used by Customer\n              without TinyURL’s prior written consent. Customer must not\n              attempt, now or in the future, to claim any rights in the\n              TinyURL Marks or use the TinyURL Marks to disparage or\n              misrepresent TinyURL, or the Services.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              2.3. Restrictions and Acceptable Use. Customer must not: (a)\n              modify, copy, or create derivative works based on, the Service\n              or Documentation; (b) license, sublicense (except to\n              Affiliates), sell, resell, rent, lease, transfer, assign,\n              distribute, or otherwise make the Service available to any third\n              parties for use on any Internet Properties that are not owned\n              and operated by Customer; (c) reverse-engineer the Service; (d)\n              interfere with, or create an undue burden on the Service or\n              TinyURL’s network in a manner that poses or has the potential to\n              pose significant harm to TinyURL’s other customers or internal\n              systems; (e) send or store infringing, obscene, threatening, or\n              otherwise unlawful or tortious material, including material that\n              violates privacy rights, through the Service; (f) use the\n              Service in violation of any Laws; (g) send or store Malicious\n              Code in connection with the Service (h) probe, scan or test any\n              vulnerability of the Services, including, without limitation,\n              performing penetration, stress or load testing, including by\n              introducing software or automated agents or scripts, other than\n              those expressly permitted by the Documentation or as explicitly\n              set forth in the Order Form, without prior written consent from\n              TinyURL; (i) perform or publish any performance or benchmark\n              tests or analyses relating to the Service, other than solely for\n              Customer’s internal use; or (j) cover or obscure any page or\n              part of the Service via HTML/CSS, scripting, or any other means.\n              Notwithstanding anything to the contrary in the Agreement,\n              TinyURL may temporarily suspend or restrict the Services upon\n              notice if Customer breaches (d) or (g) above and fails to cure\n              such breach within a reasonable period of receiving notice from\n              TinyURL thereof.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              2.4. Usernames and Passwords. Customer is responsible for\n              maintaining the confidentiality of all Administrative Users’\n              usernames and passwords created by or assigned to Customer’s\n              account (“Credentials”) and is solely responsible for all\n              activities that occur under such Credentials. TinyURL reserves\n              the right to terminate any Credentials that TinyURL reasonably\n              determines may have been used by an unauthorized third party,\n              and will provide immediate notice of such termination to\n              Customer and promptly replace such Credentials upon request.\n              Upon termination or expiration of the Agreement, all Credentials\n              will be deactivated.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              2.5. Third-Party Products and Services. Customer may access or\n              use, at Customer’s sole discretion, certain third-party products\n              and services that interoperate with the Services including, but\n              not limited to: third-party service integrations made available\n              through the TinyURL Service dashboard or APIs, and third-party\n              products or services that Customer authorizes to access\n              Customer’s TinyURL account using OAuth, API tokens, or other\n              Credentials (collectively, “Third-Party Products”). Each\n              Third-Party Product is governed by the terms of service, end\n              user license agreement, privacy policies, and/or any other\n              applicable terms and policies of the third party provider.\n              Customer’s access or use of Third-Party Products is solely\n              between Customer and the applicable Third-Party Products\n              provider. TinyURL does not make any representations, warranties,\n              or guarantees regarding the Third-Party Products or the\n              providers thereof, including, but not limited to, the\n              Third-Party Products’ continued availability, security, and\n              integrity. Third-Party Products are made available by TinyURL on\n              an “AS IS” and “AS AVAILABLE” basis, and TinyURL may cease\n              providing them at any time without entitling Customer to any\n              refund, credit, or other compensation. Unless otherwise\n              specified in writing by TinyURL, TinyURL will not be directly or\n              indirectly responsible or liable in any manner, for any harms,\n              damages, loss, lost profits, special or consequential damages,\n              or claims, arising out of or in connection with the installation\n              of, use of, or reliance on the performance of any of the\n              Third-Party Products.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              2.6. Beta Services. TinyURL may make non-production Services\n              (“Beta Services”) available to Customer upon Customer’s request.\n              All Beta Services will be clearly designated as Beta Services in\n              any Order Form or the Service’s dashboard. Beta Services are\n              intended for testing purposes only, and may be accessed by\n              Customer at Customer’s sole discretion. TinyURL may, but is not\n              obligated to, provide support for the Beta Services or correct\n              any bugs, defects, or errors in the Beta Services. Regardless of\n              whether TinyURL provides technical support for the Beta\n              Services, the SLA will not apply to the Beta Services unless\n              specified otherwise in the applicable Order Form. TinyURL may\n              discontinue, suspend, or remove Beta Services (including any\n              Customer Data stored as part of the Beta Services) or Customer’s\n              access thereto at any time in TinyURL’s sole discretion and has\n              no obligation to make them generally available. Customer\n              understands that any information regarding Beta Services is\n              TinyURL’s Confidential Information, and agrees not to disclose\n              such information unless a Beta Service becomes generally\n              available, except as required by law, and to only use such\n              information in connection with Customer’s use of the Beta\n              Services. Customer will pay the amounts set forth in all Order\n              Form(s) (collectively, the “Fees”). All undisputed Fees will be\n              payable from the Service Date. In the event that Customer\n              disputes all or some of the invoiced Fees (“Fee Dispute”),\n              Customer will provide a written notice to TinyURL that\n              reasonably describes the nature of the Fee Dispute within thirty\n              (30) days of receiving the applicable invoice. The Parties will\n              use good faith efforts to resolve the Fee Dispute. If the\n              Parties are unable to resolve the Fee Dispute within sixty (60)\n              days of Customer’s receipt of the disputed invoice, then the\n              Parties will be free to exercise any legal or contractual\n              remedies available to them. Except as explicitly set forth in\n              Sections 7.2(b) and 10.1(d) all Fees are non-cancellable and\n              non-refundable.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              3.2. Payment Terms. Unless otherwise specified in an Order Form,\n              TinyURL will invoice Customer annually in advance for the\n              Services on the Service Date as set forth in the respective\n              Order Form(s). Each invoice will be due and payable upon receipt\n              by Customer. If Customer has not paid the invoice amount within\n              thirty (30) days of receipt, TinyURL will be entitled to (a)\n              withhold performance and discontinue Customer’s access to the\n              Service until all undisputed amounts due are paid in full; and\n              (b) turn Customer over for collection to a third-party agency,\n              if 
1Customer fails to pay all undisputed amounts due within\n              thirty (30) days after TinyURL notifies Customer of non-payment\n              of undisputed amounts. In the event Customer acquires or is\n              acquired by another existing TinyURL customer (“Customer\n              Acquirer”) during the Term, the respective Agreements and Fees\n              applicable to Customer and Customer Acquirer will remain\n              unchanged and unaffected unless and until otherwise agreed to by\n              all affected parties.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              3.3. Taxes. The Fees do not include, and may not be reduced to\n              account for, any taxes, levies, duties or similar governmental\n              assessments, including value-added, sales, use or withholding\n              taxes assessable by any local, state, provincial, or national\n              jurisdiction (whether domestic or foreign) (collectively\n              “Taxes”). Customer is responsible for paying all Taxes imposed\n              on the Services provided under the Agreement. If TinyURL is\n              found to have a legal obligation to pay or collect Taxes for\n              which Customer is responsible under the Agreement, the\n              appropriate amount will be invoiced to and paid by Customer,\n              unless Customer provides TinyURL with a valid tax exemption\n              certificate authorized by the appropriate taxing authority.\n            ")])])]),e._v(" "),t("div",{staticClass:"col-12"},[t("h2",[e._v("4. If TinyURL\n            fails to meet the service levels set forth in the SLA (each such\n            failure, a “Service Level Failure”), then as Customer’s sole and\n            exclusive remedy for any Service Level Failure, TinyURL will\n            provide, at Customer’s written request, Service Credits in\n            accordance with the SLA. Customer Data Responsibility. TinyURL is not obligated to\n              Customer to maintain any copies thereof, and may delete Customer\n              Data at any time after seventy-two (72) hours from the time such\n              Customer Data is captured by TinyURL, except for any Customer\n              Account Information included therein that is reasonably required\n              for the operation of the Services during the Term. To\n              the extent the Network Data includes any Personal Data, TinyURL\n              will handle such Personal Data in compliance with applicable\n              data protection laws. Limited Warranty. TinyURL warrants to Customer that the\n              Service will materially conform to the Documentation under\n              normal use and circumstances. If Customer notifies TinyURL of a\n              breach of the foregoing warranty, TinyURL will either: (a)\n              correct the nonconformity in the Service; or (b) issue Customer\n              a credit or refund of a portion of the Fees paid by Customer for\n              the nonconforming Service that fairly reflects (at TinyURL’s\n              reasonable determination) the diminished value of the\n              nonconforming Service. Service Level Failures do not constitute\n              a breach of this Limited Warranty and are exclusively addressed\n              by the SLA. Additional TinyURL Warranties. TinyURL may sunset,\n              retire or replace any Service or feature thereof if applicable\n              to all customers of the affected Service and provided the\n              functionality of the Service will not be materially degraded.\n              TinyURL warrants that it has implemented and will maintain\n              administrative, physical and technical safeguards designed to\n              protect Customer Data that are no less rigorous than accepted\n              industry standard practices.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              7.4. Customer Warranties. Disclaimer. TinyURL will defend, indemnify and hold\n              harmless Customer and its licensors, suppliers, officers,\n              directors, employees and agents from and against any and all\n              damage, cost, liability and expenses (including court costs and\n              reasonable attorneys’ fees) incurred as a result of claims of\n              third parties arising from or that are based upon an allegation\n              that Customer’s use of the Services infringes any United States\n              Intellectual Property Right. If any portion of a Service that\n              Customer subscribes to becomes, or in TinyURL’s opinion is\n              likely to become, the subject of a claim of infringement,\n              TinyURL may, at TinyURL’s option: (a) procure for Customer the\n              right to continue using the Service; (b) replace the Service\n              with non-infringing services which do not materially impair the\n              functionality of the Service for Customer; (c) modify the\n              Service so that it becomes non-infringing; or (d) terminate the\n              Service and provide a pro rata refund any Fees already paid by\n              Customer to TinyURL to cover the remainder of the Term, and upon\n              such termination, Customer will immediately cease all use of the\n              Service. Notwithstanding the foregoing, TinyURL will have no\n              obligation under this Section 10.1 or otherwise with respect to\n              any infringement claim based upon: (w) any use of the Service\n              not in accordance with the Agreement or the Documentation; (x)\n              TinyURL’s conformance to Customer’s unique specifications\n              performed at Customer’s request; (y) any use of the Service in\n              combination with third party products, equipment, software or\n              content not supplied by TinyURL; or (z) any modification of the\n              Service by any person other than TinyURL or its authorized\n              agents. THIS SUBSECTION SETS FORTH TINYURL’S SOLE AND EXCLUSIVE\n              OBLIGATIONS, AND CUSTOMER’S SOLE AND EXCLUSIVE REMEDIES, WITH\n              RESPECT TO CLAIMS OF INFRINGEMENT OR MISAPPROPRIATION OF THIRD\n              PARTY INTELLECTUAL PROPERTY RIGHTS.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              10.2. Customer will defend, indemnify and hold\n              harmless TinyURL and its Affiliates, licensors, suppliers,\n              officers, directors, employees and agents from and against any\n              and all damage, cost, liability and expenses (including court\n              costs and reasonable attorneys’ fees) incurred as a result of\n              claims of third parties arising from or that are based upon: (a)\n              Customer’s use of the Service in a manner not permitted by the\n              Agreement or the Documentation; (b) Customer Data or Customer’s\n              Internet Properties (including without limitation any activities\n              or aspects thereof or commerce conducted thereon); (c) a\n              Customer’s non-compliance with Law; or (d) Customer’s failure to\n              pay any Taxes imposed by taxing authorities as required in\n              Section 3.4 (Payment Terms).\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              10.3. Procedure. Unless a Party provides\n              written notice of its intent not to renew the Agreement at least\n              two (2) months prior to the expiration of the Initial Term or\n              the then-current Renewal Term, the Agreement will automatically\n              renew for successive Renewal Terms thereafter. The mutual\n              execution of any Order Form pursuant to the Agreement will act\n              to extend the then-current Agreement Term to end concurrently\n              with the term of such Order Form. Customer acknowledges and\n              agrees that if an Affiliate of Customer executes an Order Form\n              pursuant to the Agreement (each, an “Affiliate Order”), such\n              Affiliate Order will extend the then-current Term of the\n              Agreement with respect to such Affiliate, as well as Customer.\n              Termination of any Affiliate Order will not terminate the\n              Agreement, as the Agreement may be terminated at the request of\n              Customer only pursuant to this Section 11.1 and Section 11.2.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              11.2. Termination. Either Party may at any time terminate the\n              Agreement, upon written notice to the other Party, if: (a) the\n              other Party has materially breached any provision of the\n              Agreement, and such breach cannot be cured, or, if curable, such\n              breach remains uncured one (1) month after receipt of notice\n              from the non-breaching Party specifying such breach in\n              reasonable detail; (b) the other Party becomes the subject of a\n              petition in bankruptcy or any other proceeding relating to\n              insolvency, receivership, liquidation or assignment for the\n              benefit of creditors; or (c) the other Party becomes generally\n              unable or fails to pay its debts as they come due.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              11.3. Effect of Termination. Severability. Waiver. Remedies. No Assignment. Customer will not assign, subcontract,\n              delegate, or otherwise transfer the Agreement or its rights and\n              obligations herein, in whole or in part, by operation of law or\n              otherwise, without obtaining the prior written consent of\n              TinyURL, which consent may be withheld at TinyURL’s sole\n              discretion, and any attempted assignment, subcontract,\n              delegation, or transfer in violation of the foregoing will be\n              null and void, ab initio. Notwithstanding the foregoing,\n              however, either Party may upon written notice to the other\n              Party, assign the Agreement in its entirety without the\n              requirement to obtain consent, in connection with a merger,\n              acquisition, reorganization or sale of all or substantially all\n              of its assets of that Party. Confidential Information. For the purposes of the\n              Agreement, “Confidential Information” means any information\n              disclosed by one Party (“Disclosing Party”) to the other Party\n              (“Receiving Party”) which: (a) if disclosed in writing or\n              electronically, is labeled as proprietary or confidential at the\n              time of disclosure; (b) if disclosed orally, is identified as\n              proprietary or confidential at the time of such disclosure, and\n              is then summarized in a writing provided to the Receiving Party\n              within one (1) month of the date of such disclosure; or (c) by\n              its nature is confidential and would be judged so under a\n              reasonable standard, or is disclosed or provided under\n              circumstances reasonably indicating it is confidential or\n              proprietary. In addition, the terms and conditions of the\n              Agreement, non-public information regarding the Service\n              (including, without limitation, the Documentation, all\n              underlying software, user interfaces, screenshots, information\n              about the TinyURL network, information concerning the\n              performance, capacity, or design of the Service or any source\n              code), and any Customer Feedback, is Confidential Information of\n              TinyURL. Confidential Information will remain the sole property\n              of the Disclosing Party. Except for the specific rights granted\n              by the Agreement, including as necessary to provide the\n              Services, the Receiving Party will not use any Confidential\n              Information of the Disclosing Party for its own account. The\n              Receiving Party will use the same standards to protect the\n              Confidential Information of the Disclosing Party as it affords\n              its own such information, but in no event less than the highest\n              commercially reasonable degree of care. The Receiving Party will\n              not disclose any Confidential Information of the Disclosing\n              Party to any third party without the express written consent of\n              the Disclosing Party (except solely for Receiving Party’s\n              internal business needs, to employees or consultants who have a\n              need to know such information and who are bound by a written\n              agreement or professional obligation to restrict the disclosure\n              and use of such Confidential Information in a manner consistent\n              with the Agreement or as necessary to provide the Services in\n              accordance with or as otherwise permitted by the Agreement). The\n              foregoing obligations will not restrict a Party from disclosing\n              Confidential Information of the other Party pursuant to the\n              order or requirement of a court, administrative agency, or other\n              governmental body; provided, that the Party required to make\n              such disclosure provides reasonable notice to the other Party to\n              enable them to contest such order or requirement, unless such\n              Party is prevented from doing so by force of law. The\n              restrictions set forth in this Section 12.7 will not apply to\n              the identities of the Parties, or to any Confidential\n              Information that: (i) was or becomes available to the public\n              other than by a breach of the Agreement by the Receiving Party;\n              (ii) was rightfully received by Receiving Party without\n              confidential or proprietary restriction from a third party who\n              has a right to disclose it; (iii) was independently developed by\n              the Receiving Party without access to or use of the Disclosing\n              Party’s Confidential Information; (iv) was known to the\n              Receiving Party at the time of disclosure, without confidential\n              or proprietary restriction; (v) was produced in compliance with\n              applicable law or a court order; provided, that the Disclosing\n              Party is given reasonable notice of such law or order and an\n              opportunity to attempt to preclude or limit such production; or\n              (vi) was approved by the Disclosing Party for disclosure without\n              restriction in a written document which is signed by a duly\n              authorized representative of the Disclosing Party.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              12.8. Force Majeure. Independent Contractors. The relationship of the Parties\n              is that of independent contractors, neither Party is an agent or\n              partner of the other. Publicity. Subject to Customer’s trademark usage\n              guidelines, Customer grants TinyURL a non-exclusive, worldwide,\n              royalty free right to include Customer’s name and logo in any\n              customer listing appearing on or in any TinyURL websites,\n              brochures, fliers, presentations, annual reports and any other\n              marketing materials. Customer may terminate the foregoing\n              license at any time following the termination of the Agreement,\n              by providing TinyURL thirty (30) days’ written notice, upon\n              which TinyURL will promptly remove Customer’s name and logo from\n              its website and cease from creating any new marketing material\n              containing the same. Notwithstanding the foregoing, TinyURL’s\n              right to continue to use any pre-printed marketing materials\n              produced prior to such termination will continue until the\n              supply of such materials is exhausted.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              12.11. Notices. Customer is responsible for updating its\n              information with TinyURL, including providing TinyURL with an\n              up-to-date e-mail address for the provision of notices under the\n              Agreement. 1id, or for any reason is not\n              capable of delivering any notice required by the Agreement,\n              Customer acknowledges and agrees that TinyURL’s dispatch of an\n              e-mail to such address will nonetheless constitute effective\n              notice. Commercial Communications. Customer agrees that TinyURL\n              may send email communications to Customers’ employee\n              representatives in order to convey information about TinyURL\n              products and services, including promotional information about\n              new or updated TinyURL products and services, and TinyURL\n              events. Customer’s employee representatives may opt-out of such\n              communications on an individual basis by managing their\n              communication preferences.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              12.13. Government Restrictions. If Customer is an agency,\n              department or entity of the United States Government\n              (“Government”), Customer understands and agrees, that (a)\n              Customer’s rights to use, reproduce, release, modify or disclose\n              the TinyURL Technology, or any part thereof, is restricted in\n              accordance with Federal Acquisition Regulation (“FAR”) 12.212\n              for civilian agencies and Defense Federal Acquisition Regulation\n              Supplement (“DFARS”) 227.7202 for military agencies, (b) the\n              TinyURL Technology consists of “commercial computer software”\n              and “commercial computer software documentation,” respectively,\n              as defined in FAR Section 12.212 and DFARS Section 227.7202, or\n              their successor provisions, as applicable and (c) use of the\n              TinyURL Technology by any Government agency, department or other\n              agency of the Government is further restricted as set forth in\n              the Agreement.\n            ")]),e._v(" "),t("li",{staticClass:"mb-3"},[e._v("\n              12.14. Amendment. TinyURL may amend the Agreement at any time,\n              provided that it gives notice to Customer not less than ten (10)\n              days prior to the effective date of any such amendment.\n              Customer’s continued use of the Service after the effective date\n              of the amendment may be relied upon by TinyURL as Customer’s\n              consent to the amendment. Entire Agreement. The Agreement is the final, complete\n              and exclusive agreement of the Parties with respect to the\n              subject matter hereof and supersedes and merges all prior\n              discussions and agreements, between the Parties with respect to\n              such subject matter, including any applicable non-disclosure\n              agreements. Except as permitted by Section 12.14, no\n              modification of, amendment to, or waiver of any rights under the\n              Agreement will be effective unless in writing and signed by an\n              authorized signatory of each of Customer and TinyURL. The\n              Agreement may be executed electronically and in counterparts,\n              each of which will be deemed to be an original, but all of\n              which, taken together, will constitute one and the same\n              agreement. In the event of a conflict between any Order Form and\n              the Terms of Service, the Order Form will control, but only to\n              the extent there is a conflict. Unless agreed to in writing by\n              TinyURL, the terms of any pre-printed purchase orders or general\n              terms and conditions that Customer submits to TinyURL that\n              contains terms that are different from, in conflict with, or in\n              addition to, the terms of the Agreement are hereby rejected by\n              TinyURL, and will be void and of no A Service Credit is calculated by multiplying the\n              applicable percentage set forth in Section 2 (Service Commitments)\n              of this SLA by the fees Customer actually incurs for the affected\n              Services APIs or URL Redirection Services for the applicable\n              billing month.\n            ")]),e._v(" "),t("p",[e._v("\n              “Successful Connection Rate” means, in the applicable billing\n              month, an API request by Customer that returns the expected\n              successful response, such as a “200” accepted response, at a rate\n              of at least one thousand (1,000) requests per second. All submissions\n              must include: (a) “SLA Claim” as the subject of the ticket; (b)\n              the dates and times of (i) Unavailable Monthly Time calculated or\n              (ii) the failure to achieve a Successful Connection Rate; and (c)\n              any documentation of the Unavailable Monthly Time or failure to\n              achieve a Successful Connection Rate.
