We are not a bank. Your Fusion Account is not a payment account and may not be used by you to instruct payment transactions other than as provided for by the Payment Terms."}),(0,o.jsx)("p",{children:"We may support alternative payment methods (\u201cAPMs\u201d) and may remove or add payment methods at any time without prior notice."}),(0,o.jsx)("p",{children:"If a Network (like Amex) considers you to be a high-value customer, it may require a direct agreement with them. Fusion Support will notify you if that applies."}),(0,o.jsx)("p",{className:"fw-bold",children:"2. Your Authorisations"}),(0,o.jsx)("p",{children:"You authorise us to act as your agent for payment processing, which includes holding, receiving, and disbursing funds for you. You also authorise us to recover funds from you when needed."}),(0,o.jsx)("p",{children:"This includes settling Proceeds of each Card and non-Card transaction (less applicable Fees, deductions, Chargebacks or Reserves). You authorise us to transmit transactions for authorization and to direct debit your account for Chargebacks or other amounts owed (see Section 43). Our Fees"}),(0,o.jsxs)("p",{children:["We charge payment processing fees (\u201cPayment Services Fees\u201d) as listed in the Fee Schedule. Fees exclude VAT. Fusion My Business reserves the right to charge VAT if required by law. Fees are deducted when a transaction is processed. If you initiate a payment order, we\u2019re liable for correct transmission and will correct delays. Fusion Account Registration for Payment Services"}),(0,o.jsx)("p",{children:"You must open a Fusion Account using your real name or business name and be a UK resident or authorized business. Underwriting and Identity Verification"}),(0,o.jsx)("p",{children:"Fusion My Business will verify your identity and business. You authorize us to share your application with partners. Holdbacks"}),(0,o.jsx)("p",{children:"Fusion My Business may defer or withhold payouts due to investigations, disputes, legal requirements, or per recommendations from Fusion International. Fusion Account History"}),(0,o.jsx)("p",{children:"You are responsible for record-keeping. Account activity appears on your Fusion Dashboard. Reserve for Holding Funds"}),(0,o.jsx)("p",{children:"We may impose a Reserve account to secure your obligations, adju

Our Set-off Rights"}),(0,o.jsx)("p",{children:"We may set-off debts against your Balance and beyond, including linked accounts. You are liable for recovery costs"}),(0,o.jsx)("p",{className:"fw-bold",children:"17. Dormant Fusion Accounts"}),(0,o.jsx)("p",{children:"Inactive accounts with Funds beyond six years may be disposed of per UK law. We will notify you before taking action."}),(0,o.jsx)("p",{className:"fw-bold",children:"18. Procedure for Secure Notification"}),(0,o.jsx)("p",{children:"We will communicate through secure Fusion Dashboard. Any suspicious outreach should be reported to Fusion Support."}),(0,o.jsx)("p",{className:"fw-bold",children:"19. Your Liability for Chargebacks"}),(0,o.jsx)("p",{children:"You are responsible for Chargebacks. Each one is a debt due immediately. If your account balance becomes negative or at risk, you must comply with terms or we may suspend or terminate services."}),(0,o.jsx)("p",{className:"fw-bold",children:"20. Our Collection Rights for Chargebacks"}),(0,o.jsx)("p",{children:"We may withhold Chargeback amounts in Reserve, delay payouts, and recover Chargeback amounts and associated costs from your accounts."}),(0,o.jsx)("p",{className:"fw-bold",children:"21. Excessive Chargebacks"}),(0,o.jsx)("p",{children:"If excessive Chargebacks are detected, we may impose restrictions, fees, reserves, or terminate services."}),(0,o.jsx)("p",{className:"fw-bold",children:"22. Contesting Chargebacks"}),(0,o.jsx)("p",{children:"You must assist with Chargeback disputes. Success leads to reserves returned; failure or inactivity may result in irreversible Chargebacks and recovery actions"}),(0,o.jsx)("p",{className:"fw-bold",children:"23. Fair Use"}),(0,o.jsx)("p",{children:"You must honor all valid Cards without discrimination and not surcharge customers. Prices must reflect lawful differential costs only."}),(0,o.jsx)("p",{className:"fw-bold",children:"24. Restricted, Unauthorised or Illegal Use"}),(0,o.jsx)("p",{children:"These are important rules and we might decline a transaction or suspend payment services altogether if you break them. For example, you cannot resell or repurpose our services, or use us to process cash advances. Don\u2019t try to process illegal or unauthorised transactions. If we think what you are doing violates our terms or may harm you, your customers, or us we can suspend your ability to take payments. 1ir Card\u2019s personal identification number (\u2018PIN\u2019) at any point in a transaction;"})}),(0,o.jsx)("li",{children:(0,o.jsx)("p",{children:"(h) act as a payment processor, payment facilitator or otherwise resell the Payment Services to any third party;"})}),(0,o.jsx)("li",{children:(0,o.jsx)("p",{children:"(i) use the Payment Services to handle, process or transmit funds for any third party; or"})}),(0,o.jsx)("li",{children:(0,o.jsx)("p",{children:"(j) use the Payment Services outside of Great Britain."})})]}),(0,o.jsx)("p",{children:"We may decide not to authorise or settle any transaction that you submit to us if we believe that the transaction is in violation of the Payment Terms or any other agreement with Fusion My Business or that it exposes you, your customers, other Fusion sellers, our processors, Stripe, or a Fusion Entity to harm. Harm includes fraud and other criminal acts, including submitting transaction data that you know or ought reasonably to have known is illegal. If we or Stripe suspect that your Fusion Account has been used for an unauthorised, illegal or criminal purpose, you give us express authorisation to share information about you, your Fusion Account and any of your transactions with law enforcement and, as deemed necessary by Fusion My Business or Stripe, our payment processing or financial institution partners."}),(0,o.jsx)("p",{children:"You agree and acknowledge that you may be liable for fraudulent transactions that could have been prevented if you had properly used chip and PIN technology when a chip and PIN transaction is required. You agree not to take any action that could interfere with or prevent the exercise of this right by the Networks. The Networks and APM Providers are the sole and exclusive owners of their respective Marks. You will not contest the ownership of the Marks for any reason and any Network or APM Provider may at any time, immediately and without advance notice, prohibit you from using its Marks for any reason.
