1are, application services (including without limitation any mobile application services) or other materials (“Content”) made available through the Platform or our related services (collectively, the “Services”). The Services are subject to these Terms of Service, any policies issued by us related to the provision of the Services and/or any applicable laws and regulations. Any new features added to or augmenting the Services are also subject to these Terms of Service, the Company’s policies and/or any applicable laws and regulations. The Services include but are not limited to (i) receipt and settlement of funds, and (ii) other services that we may add from time to time as approved by Bank Indonesia and/or relevant government institutions (if any).",e.jsx("br",{}),e.jsx("br",{}),"2.2 Our Services are designed to facilitate users using our Software (“Users”) to receive and manage funds from buyers for the provisions of products and/or services performed by Users using the Platform. We reserve the right to change, upgrade, modify, limit or suspend the Services or any of our related functions or applications at any time temporarily or permanently without prior notice. We reserve the right to introduce new features, functionalities or applications to the Services or future versions of the Service. All new features, functionalities, applications, modifications, upgrades and alterations shall be governed by these Terms of Service unless otherwise stated.",e.jsx("br",{}),e.jsx("br",{}),"2.2.1 Receipt and Settlement of Funds",e.jsx("br",{}),e.jsx("br",{}),"You may hold funds in your Account and receive such funds into the bank account that you registered with us, whether the receiving of funds is done automatically through our system or manually based on your Instructions (as defined below), for the provisions of products and/or services performed by you using the Platform.",e.jsx("br",{}),e.jsx("br",{}),"For funds that you have received and are in your Account, if we (based on our sole discretion) believe that you have engaged or are involved in prohibited activities as stated in these Terms of Service (including but not limited to fraudulent or suspicious activity and/or transaction) for one or more transactions, then we are authorized to retrieve the funds from you (including but not limited to by way of debiting your Account) immediately for the amount of funds that we determine (based on our sole discretion) for a transaction or transactions that have occurred in connection with such prohibited activities. We do this with written notice to you.",e.jsx("br",{}),e.jsx("br",{}),"You acknowledge that the Account does not constitute “savings” based on the relevant banking laws and regulations, and thus the Account is not subject to any guarantee arrangement by the Savings Guarantee Institution (Lembaga Penjamin Simpanan).",e.jsx("br",{}),e.jsx("br",{}),"For merchants acquired through merchant aggregators, the respective merchant aggregators shall be responsible for the receipt and settlement of your funds to you, including but not limited to any deductions made for the agreed or determined portion of the merchant aggregators prior to settlement, any taxation aspects related to such fund settlements, as well as any disputes related to fund settlements, in accordance with the terms of their agreements with you. We shall have no obligation or liability whatsoever in connection with the settlement of funds between you and merchant aggregators.",e.jsx("br",{}),e.jsx("br",{}),"2.2.2 Fees",e.jsx("br",{}),e.jsx("br",{}),"Holding funds in your Account and receiving such funds into the bank account that you registered with us is free. However, if you use bank accounts outside BCA, BNI, BRI, Mandiri and SeaBank as the selected account to receive funds from your Account, we will charge a withdrawal fee in the amount of Rp3,000 (the “Withdrawal Fee”) inclusive Value Added Tax (“VAT”). The Company reserves the right to amend the Withdrawal Fee set out above and/or the fees set out in this Section 2.2.2 without prior notification to you.",e.jsx("br",{}),e.jsx("br",{}),"In addition, if you use bank accounts outside BCA, BNI, BRI, Mandiri and SeaBank as the selected account to receive funds from your Account, you shall have a minimum fund of Rp25,000 (twenty five thousand Rupiah) in your Account for the Company to be able to transfer the funds in your Account to your selected bank account subject to the imposition of the Withdrawal Fee set out above.",e.jsx("br",{}),e.jsx("br",{}),"For any transaction using the Platform, all merchants will be subject to a Merchant Discount Rate (“MDR”). 1our or merchant aggregators’ sole responsibility to ensure that all Instructions are correct, complete and accurate in all respects and that time is required to process the Instructions. The Instructions provided will be treated as final and we will not be required to verify the Instructions. Further, as relevant, by providing us with the Instructions, you agree to pay or allow us to deduct from your Account all fees and charges associated with your Instructions from your Account.",e.jsx("br",{}),e.jsx("br",{}),"You acknowledge and agree that no liability shall be incurred by us if we are unable to complete any Instruction for any reason beyond our control including but not limited to the following:",e.jsx("br",{}),e.jsx("br",{}),"(i) If, through no fault of ours, your Account does not contain sufficient funds or if the Instruction would exceed the transactional limit set for your Account;",e.jsx("br",{}),e.jsx("br",{}),"(ii) Our processing centre is not working properly and you know or have been advised by us or merchant aggregators about the malfunction before the Instructions are executed;",e.jsx("br",{}),e.jsx("br",{}),"(iii) You have not provided us or merchant aggregators with the correct information, or information that you provided becomes incorrect;",e.jsx("br",{}),e.jsx("br",{}),"(iv) We discover or have reasonable reason to believe that any fraud, illegal, illicit or criminal actions have been or will be conducted; and/or",e.jsx("br",{}),e.jsx("br",{}),"(v) Circumstances beyond our control (such as, but not limited to, fire, flood, or interference from an outside force), even if foreseeable or foreseen, that prevent the proper execution of the Instructions and we have taken reasonable precautions to avoid those circumstances.",e.jsx("br",{}),e.jsx("br",{}),"Subject to Section 9, and provided none of the foregoing exceptions are applicable, if we cause an incorrect amount of funds to be removed from your Account or cause the funds to be directed in a manner that does not comply with the Instructions, you agree that your sole remedy shall be to have the wrongly deducted sum credited to your Account.",e.jsx("br",{}),e.jsx("br",{}),"We are authorized to initiate debit or credit entries to your Account at any time by written notice to you based on the following reasons:",e.jsx("br",{}),e.jsx("br",{}),"(i) to correct any errors in the processing of any Instruction or transaction;",e.jsx("br",{}),e.jsx("br",{}),"(ii) where the Company has determined that you have engaged in any fraudulent or suspicious activity and/or transaction;",e.jsx("br",{}),e.jsx("br",{}),"(iii) in connection with any rewards or rebates (if any);",e.jsx("br",{}),e.jsx("br",{}),"(iv) in connection with any uncharged fees (if any);",e.jsx("br",{}),e.jsx("br",{}),"(v) in connection with the settlement of any transaction dispute, including any compensation due to, or from, you; and",e.jsx("br",{}),e.jsx("br",{}),"(vi) any other reasons relevant to any transaction as determined by the Company in the future.",e.jsx("br",{}),e.jsx("br",{}),"You agree and acknowledge to release and indemnify us against any damages, losses and claims from the third party in relation to the foregoing.",e.jsx("br",{}),e.jsx("br",{}),"2.2.4 Dispute over received funds",e.jsx("br",{}),e.jsx("br",{}),"If you do not agree with our calculations of the funds according to Section 2.2.1 after the funds are remitted to your Account, you can raise a dispute report over the calculations in writing within 7 (seven) business days.",e.jsx("br",{}),e.jsx("br",{}),"We shall respond to such a dispute within 5 (five) business days of receipt of such notice and the Parties should reconcile and reach a mutual agreement. For the purpose of reconciliation, you agree that the Company’s data that we present in relation to the disputed funds as conclusive and considered as final.",e.jsx("br",{}),e.jsx("br",{}),"If after funds are remitted and you do not raise any dispute over the funds for more than 7 (seven) business days since the date of remittance to your account, our data for the calculation of the fund shall be conclusive and considered as final, hence, cannot be disputed and in this event you shall waive and release the Company from any obligation to pay any fund other than the funds in the amount that we have remitted to your account.",e.jsx("br",{}),e.jsx("br",{}),"For merchants acquired through merchant aggregators, any dispute relating to fund settlements shall be governed by and resolved 

1in accordance with the terms of your agreements with merchant aggregators.",e.jsx("br",{}),e.jsx("br",{}),"2.3 We may limit any or all of the Services available to any User, in accordance with these Terms of Service, the Company’s policies and/or any applicable laws and regulations. The types of Instructions and other benefits, features, and functions of the Services available to a User may vary for different risk profiles. No warranty or representation is given that the same type and extent of transactions, benefits, features and functions will be available to all Users.",e.jsx("br",{}),e.jsx("br",{}),"2.4 We reserve the right to refuse or cancel any Instruction for any reason at our sole discretion. Situations that may result in an Instruction being rejected or cancelled, include, but not limited to problems which have been identified by our fraud control department, suspicious transactions which have been identified by our compliance, when we have reason to believe that the Instruction is unauthorized, violates any law, rule, regulation, these Terms of Service or the spirit of these Terms of Service, or may otherwise subject us or any of our affiliates to liability. We may also require additional verifications or information of any Instruction.",e.jsx("br",{}),e.jsx("br",{}),"2.5 We may impose additional rules, restrictions, limitations, prohibitions or any other measures that we, in our sole discretion, deem necessary or reasonable in each Instruction.",e.jsx("br",{}),e.jsx("br",{}),"2.6 You will be responsible for all activities made through the Platform, with or without your authority, knowledge or consent, and may not claim against us in connection with any such use or purported use.",e.jsx("br",{}),e.jsx("br",{}),"2.7 You must ensure that the Uniform Resource Locator (“URL”), as applicable, registered with us is accessible and that the URL is not derived from or obtained from any e-commerce platform.",e.jsx("br",{}),e.jsx("br",{}),"2.8 You must ensure that the products and/or services you sell are real products that are available and provided on your store/outlet/platform.",e.jsx("br",{}),e.jsx("br",{}),"2.9 For those of you who have activated the ShopeePay top-up feature at your store/outlet/platform, you fully understand and accept that we at our sole discretion will turn off and/or disable direct cashback promotions in any form on your platform, including but not limited to indications of scam/fraud or suspicious activity and/or transactions.",e.jsx("br",{}),e.jsx("br",{}),e.jsx("div",{className:"terms-subtitle",children:"3. NPWP/NIK that is not successfully verified will not be used in the tax invoices that we issue. You are fully responsible for all activities that occur under your Account even if such activities or uses were not committed by you. We will not be liable for any loss or damage arising from unauthorized use of your password or your failure to comply with this Section 6.3.",e.jsx("br",{}),e.jsx("br",{}),"7.4 We may require that you submit additional documents so that you may access our Services.",e.jsx("br",{}),e.jsx("br",{}),"7.5 You are responsible for providing correct and accurate information when registering with us or through merchant aggregators, and for keeping your registration information up to date, or notifying us in the event of changes. For direct merchants, if you wish to change your phone number, you must contact us as specified in Section 15.",e.jsx("br",{}),e.jsx("br",{}),"7.6 You agree that we may for any reason, in our sole discretion and without notice or liability to you or any third party, immediately terminate your Account or our Services, and remove or discard from the Platform any Content associated with your Account. Grounds for such termination may include, but are not limited to, (a) at your demand or request, (b) violation of the letter or spirit of these Terms of Service, the Company’s policies and/or applicable laws and regulations, (c) fraudulent, harassing, defamatory, threatening or abusive behaviour, (d) behaviour that is harmful to other Users, third parties, or the business interests of the Company or (e) as instructed by the relevant authorized government institutions or law enforcement authorities. Use of an Account or our Services for illegal, fraudulent, harassing, defamatory, threatening or abusive purposes may be referred to law enforcement authorities without notice to you. If you file a claim (under any cause of action whatsoever) either against us, or which in any way involves us, then we may terminate your Account or our Services. You agree and acknowledge that you are solely responsible for, and will release and indemnify us against any damages, losses and claims from you or other third party in relation to the foregoing termination.",e.jsx("br",{}),e.jsx("br",{}),"7.7 Your Account or our Services may be terminated if you want to terminate your cooperation with us. In these scenarios, you need to submit a request to us and settle all of your obligations, including ensuring that your Account is not frozen/blocked before it can be automatically terminated. Termination will be done immediately after the request is submitted, given that you do not have any pending obligations. For merchants acquired through merchant aggregators, if you wish to terminate or discontinue our Services, you must do so through your respective merchant aggregator.",e.jsx("br",{}),e.jsx("br",{}),"7.8 In the event of the termination of the Account, you are entitled to withdraw your remaining balance in the Account (“Redemption”), after any operational costs payable are deducted (if any).
