("Referrer") on the date last signed below ("Effective Date"). Both parties agree to the following terms and conditions:'}),e.jsx("h2",{className:"text-xl font-bold mt-8 mb-4",children:"1. Grant of Referral Rights"}),e.jsx("p",{className:"mb-6",children:`Company hereby grants to Referrer a non-exclusive right to market, promote, and refer Company's products and services ("Products") within the territory specified in this Agreement. Referrer agrees to actively promote and refer the Products in accordance with Company's standards and guidelines.`}),e.jsx("h2",{className:"text-xl font-bold mt-8 mb-4",children:"2. Territory"}),e.jsx("p",{className:"mb-6",children:"This Agreement grants Referrer non-exclusive rights to refer Products globally. Commission Structure"}),e.jsx("p",{className:"mb-4",children:"Commission does not apply to up-front fees. Commission calculations will be based on the actual amount received by Company from the end customer for annual licences, excluding VAT, delivery charges, and refunded amounts."}),e.jsxs("ul",{className:"list-none space-y-3 mb-6",children:[e.jsxs("li",{children:["(a) ",e.jsx("strong",{children:"Initial Contract Period:"})," Referrer shall receive a commission of twenty percent (20%) on annual licence fees for the full duration of the initial contract signed between Company and the referred customer. For example, if the referred customer signs a three (3) year contract, Referrer shall receive 20% commission on the annual licence fees for all three years."]}),e.jsxs("li",{children:["(b) ",e.jsx("strong",{children:"Renewal Period:"})," If the referred customer renews their contract directly with Company beyond the initial contract term, Referrer shall receive a reduced commission of ten percent (10%) on annual licence fees for each subsequent renewal year."]}),e.jsx("li",{children:"(c) The renewal commission of 10% shall continue for as long as the referred customer remains an active paying customer of Company."})]}),e.jsx("h2",{className:"text-xl font-bold mt-8 mb-4",children:"4. Payment Terms"}),e.jsxs("ul",{className:"list-none space-y-3 mb-6",children:[e.jsx("li",{children:"(a) Commission payments will only be made once Company has invoiced the customer and received full payment from the customer for the annual licence fees."}),e.jsx("li",{children:"(b) Commission payments will be made monthly within thirty (30) days after the end of each calendar month, for all customer payments received by Company during that month."}),e.jsx("li",{children:"(c) Company will provide detailed statements showing sales, customer payments received, returns, and commission calculations."}),e.jsx("li",{children:"(d) No commission shall be payable on unpaid invoices, cancelled orders, or refunded amounts."}),e.jsx("li",{children:"(e) All payments will be made in British Poun

Term and Termination"}),e.jsxs("ul",{className:"list-none space-y-3 mb-6",children:[e.jsx("li",{children:"(a) This Agreement shall commence on the Effective Date and continue for a period of one (1) year, automatically renewing for successive one-year periods unless terminated by either party."}),e.jsx("li",{children:"(b) Either party may terminate this Agreement with thirty (30) days written notice."}),e.jsx("li",{children:"(c) Either party may terminate immediately for material breach, bankruptcy, or violation of this Agreement."}),e.jsx("li",{children:"(d) Upon termination, all unpaid commissions for completed sales shall remain payable."})]}),e.jsx("h2",{className:"text-xl font-bold mt-8 mb-4",children:"6. Referrer may use Company's trademarks and marketing materials solely for the purpose of promoting Products under this Agreement.
