DEFINITIONS"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.1"}),' "Xtern" means the technical talent trained by Darey.io and given placement with a partner company to receive work experience and where possible, employment.']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.2"}),' "Services" means the technical services provided by the Xtern to the partner company']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.3"}),' "Intellectual Property" means all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.4"}),' "Tenure" means the period that the technical Xtern is intended to provide technical services to the partner company.']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.5"}),' "Partner Company" means the company that takes the Xtern on work placement for 30 days with an option to employ the Xtern to provide technical services to them.']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.6"}),' "Placement" means the 30 days work arrangement between Darey.io and the partner company that allows the Xtern gain relevant work experience with a chance of full-employment.']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"1.7"}),' "Course" means learning experiences across Darey.io and/or Xterns.ai, which may include but are not limited to courses, projects, mentorships, assessments, and other educational activities offered on the platforms. PU
1RPOSE OF THE AGREEMENT"}),e.jsx("div",{className:"ml-4",children:e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"2.1."})," Darey.io operates the Xtern Platform for the purpose of providing skilled technical Xtern to businesses seeking such Xtern. This Agreement will therefore stipulate the terms and conditions governing the relationship between the Xterns and Darey.io."]})})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"3. PLATFORM OWNERSHIP AND USE"}),e.jsx("div",{className:"ml-4",children:e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"3.1."})," Darey.io is the sole and exclusive owner of the Xtern Platform, including all intellectual property rights associated with it. Dare. io therefore has the complete legal right to control, use, and exploit the platform, its features, and its underlying technology. No other individual or entity has any ownership interest in the platform or its intellectual property."]})})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"4. DUTIES OF DAREY.IO TO THE XTERNS"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"4.1. Training:"})," Darey.io shall train the Xterns on technical skills such as cloud engineering and database management. Darey.io will teach Xterns how to work with tools such as MongoDB, Microsoft Azure, Google Cloud, AWS and Kubernetes."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"4.2. Feedback and Support:"})," All Xterns who are undertaking the training with Darey.io will receive personalized support on their course work and feedback on the tasks assigned. Xterns will be assigned tasks regularly to test their skills and improve. Each time a task is done feedback will be provided to the Xtern on what they did well and how they can improve."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"4.3. Communication:"})," Darey.io will establish channels of communication with the Xterns during their training and placement to provide them with detailed information on the course curriculum, the projects to be handled and"]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"4.4. Placement:"})," Darey.io will work towards ensuring Xterns who are top performing i.e top 10% who are trained and have scaled on the paltofrm are placed. The placement shall however be dependent on the Xtern's skill level and performance on assigned projects, availability of partner companies and time of graduation."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"4.5. Certification:"})," All Xterns who complete their training will be given a certificate of achievement indicating the skills learnt. The Xterns who complete the placement will also be issued a Skills achievement certificate by Darey.io in collaboration with the company they worked at."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"5. Attendance:"})," Xterns shall attend all training sessions and complete all required course curriculum as a condition for placement and certification."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"5.2. Active engagement:"})," The Xterns shall actively engage the projects and course curriculum issued by Darey.io. The Xterns shall be actively engaged in the projects and tasks assigned by the partner company during the placement period. Any negative report from the partner company around the performance of the Xtern shall lead to the Xtern losing their post-placement skill certification. Such reported Xtern shall also not be included in the database of Xterns for future employment."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"5.3. Feedback:"})," The Xterns shall provide detailed feedback to Darey.io on their course curriculum and shall fill surveys and questionnaires sent by Darey.io for the purpose of receiving feedback. The feedback collected shall be used to improve the course curriculum and overall Xtern experience. Partner companies may support Darey.io in collecting feedback and Xterns who sign this agreement shall be under an obligation to cooperate with them."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"5.4. Mentorship:"})," The successful Xterns who are retained by their placement company by signing this agreement agree to mentor other Xterns in training before they are placed to partner companies. Each successful Xtern shall have a minimum of 4 mentorship sessions where they will address learning process that can help future Xterns improve, the feedback process that works for tech companies and relevant resources that future Xterns can leverage."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"5.5."})," The Xtern agrees to the additional terms and obligations set out in Annexure A of this Agreement, which shall form an integral part of this Agreement."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"6. DUTIES OF XTERNS TO PARTNER COMPANY"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"6.1. Attendance:"})," Xterns shall attend all the meetings and sessions of the partner company related to their assigned tasks and projects during the 30-day period. Xtern who is not available to attend any session, or meeting shall write a written notice to the partner company and Darey.io at least 7 days to the session or meeting. Where such a notice is given, only emergencies like health, government obligations, family trouble and state anarchy will be accepted as valid reasons for being absent. Reasons that do not fall within this list shall be treated as unacceptable and will result in a query."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"6.2. Xtern Performance:"})," Xtern shall perform their tasks diligently and request for support from the Darey.io team where applicable. Xtern performance shall be rated according to speed of project completion, efficiency of digital solutions and ease of future improvements. Xterns who consistently underperform will either be dropped by the partner company."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"6.3. Xtern Feedback:"})," The Xtern shall provide feedback to the partner company on the tasks and projects they are assigned. Where feedback is requested the Xtern shall provide it highlighting the scope of the project or task, the approach used, the challenges, the resolution and lessons for future improvements. This feedback shall be sent to the partner company even when not requested."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"7. NON-COMPULSORY RETENTION"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"7.1."})," The Xtern by signing this Agreement understands that Darey.io shall not be responsible for the decision of the partner company to retain the Xtern beyond the 30-day period."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"7.2."})," The Xtern shall carry out all the tasks assigned to them by the partner company even when they are informed from the beginning they will not be retained."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"7.3."})," Where the partner company does not retain the Xtern, the partner company shall provide Darey.io with detailed performance feedback on the Xtern's performance which Darey.io will share with the Xtern for improvement and support in future placements."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"8. CONFIDENTIALITY AND NON-SOLICITATION"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"8.1."})," Each Party agrees to maintain the confidentiality of all non-public information disclosed by the other Party in connection with this Agreement, including software database, business plans, technical information, and personal data."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"8.2."})," The Xtern shall not directly engage or solicit the partner company provided by Darey.io, or any other Darey.io employees, for twenty-four (24) months following the termination of this Agreement unless mutually agreed upon in writing by both Parties."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"8.3."})," Both Parties agree to comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"9. NON â COMPETE"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"9.1."})," The Xtern shall not create a business similar to that of Darey.io or work for a company similar to Darey.io for 2 years after the termination of this agreement. Xterns who intend to do this have to get approval in writing from Darey.io."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"9.2."})," Where Xtern works for a similar company or creates a similar business contrary to Section 9, such an Xtern will be liable to damages that encompass their entire earning for the peri

INTELLECTUAL PROPERTY RIGHTS"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"10.1."})," All Intellectual Property (IP), including but not limited to code, designs, documentation, and other outputs, developed by the Xtern during the course of their engagement whether during the 30-day probation period or subsequent periods shall be the sole and exclusive property of the Partner Company, provided that all due monthly payments for the applicable period of creation have been made in full."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"10.2."})," Darey.io shall retain full rights to use and commercialize any such IP generated during the Xtern's placement to the extent it is created on or through the Darey.io platform, including the right to reproduce, distribute, and adapt such IP as part of its broader technology or services offering."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"10.3."})," The Xtern acknowledges that any skills, experience, or general knowledge acquired during the placement are not considered proprietary and may be freely used in future engagements; however, this does not grant the Xtern ownership, license, or commercialization rights over any specific project, content, or deliverable created during the placement."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"10.4."})," Each Party shall retain ownership of any pre-existing IP brought into the relationship. Where necessary to fulfill the Services under this Agreement, each Party grants the other a limited, non-exclusive, non-transferable license to use such pre-existing IP solely for the duration and purposes of this Agreement."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"11. WARRANTIES AND REPRESENTATIONS"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"13.1."})," Each Party warrants that it has the legal authority to enter into this Agreement and perform its obligations hereunder."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"13.2."})," Darey.io guarantees that it has the tools and resources to train the Xtern and place them with a partner company."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"13.3."})," The Xtern warrants that it will attend the training course, provide feedback when requested and carry out all tasks and projects diligently."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"14. FORCE MAJEURE"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"14.1"}),' Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government restrictions, strikes, or natural disasters ("Force Majeure Event").']}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"14.2"})," The affected Party shall notify the other Party promptly upon the occurrence of a Force Majeure Event, providing full details of the event and its expected duration."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"14.3"})," If a Force Majeure Event continues for more than thirty (30) days, either Party may terminate this Agreement upon written notice to the other Party."]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"15. LIABILITY AND INDEMNIFICATION"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"15.1"})," Each Party agrees to bear its own risks and liabilities arising out of or in connection with this Agreement."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"15.2"})," Darey.io's total liability under this Agreement, whether in contract, tort (includin negligence), or otherwise, shall be limited to the total fees paid by the Xtern for the training prior to the placement with a partner company."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"15.3"})," Neither Party shall be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business, or data."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"15.4"}),` Each Party (the "Indemnifying Party") agrees to indemnify, defend, and hold harmless the other Party from and against any and all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorney's fees, arising out of or related to the Indemnifying Party's breach of this Agreement or negligence.`]})]})]}),e.jsxs("div",{className:"space-y-4",children:[e.jsx("h2",{className:"text-2xl font-bold text-primary",children:"16. RESOLUTION"}),e.jsxs("div",{className:"space-y-3 ml-4",children:[e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"17.1"})," The Parties agree to attempt to resolve any dispute arising out of or relating to this Agreement through good faith negotiations."]}),e.jsxs("p",{className:"text-base text-foreground leading-relaxed",children:[e.jsx("strong",{children:"17.2"})," If the dispute cannot be resolved through negotiation, the Parties agree to submit the dispute to mediation before resorting to arbitration. The mediator shall be an experienced businessman who shall be appointed on the agreement of both parties.
