Who may use the Service</h2><p data-v-60a4f63a>3.1 UserSearch is a professional research tool. Accounts, subscriptions and the API are provided only for use in the course of a business, trade, profession, public body or non-profit organisation, and are not offered to consumers. By opening an account you confirm that this is how you will use it. Anyone may read our public web pages.</p><p class="mt-4" data-v-60a4f63a>3.2 You must be at least 18 years old.</p><p class="mt-4" data-v-60a4f63a>3.3 Access is subject to our vetting and to our continuing assessment of whether you remain eligible. We audit accounts and vet users. We may ask you at any time, including before we give or continue access to a paid plan, the API or a particular feature, who you are, which organisation you work for and how you use the Service. You must answer accurately and promptly. We may refuse, limit, place conditions on or withdraw access where we reasonably consider that a user, an organisation, a country or a use is unsuitable, unlawful, or a risk to any person or system.</p><p class="mt-4" data-v-60a4f63a>3.4 You may not use the Service if you are subject to UK, EU, UN or US sanctions, or from a country or territory where providing it would be unlawful.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>4. Your account</h2><p data-v-60a4f63a>4.1 The information you give us when you register must be accurate, and you must keep it up to date.</p><p class="mt-4" data-v-60a4f63a>4.2 Each account is for one named person. You must not share your sign-in details or let anyone else use your account. In a team, each member needs their own account.</p><p class="mt-4" data-v-60a4f63a>4.3 You are responsible for everything done through your account. Fees, renewal and payment</h2><p data-v-60a4f63a>6.1 Prices are shown in US dollars on the pricing page and at checkout. Taxes are added where they apply.</p><p class="mt-4" data-v-60a4f63a>6.2 Payments are taken by Stripe, our payment processor. We never receive or store your full card number.</p><p class="mt-4" data-v-60a4f63a>6.3 <strong class="text-white" data-v-60a4f63a>Your subscription renews automatically.</strong> A monthly subscription renews each month and a yearly subscription renews each year, at the price then in force, until you cancel. We take payment at the start of each period using the payment method on your account.</p><p class="mt-4" data-v-60a4f63a>6.4 We may change the price of your plan by giving you reasonable advance notice. The new price takes effect from your next renewal, and you may cancel before then.</p><p class="mt-4" data-v-60a4f63a>6.5 If a payment fails, we suspend your subscription and its paid features until the payment is made. We may cancel a subscription that remains unpaid.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>7. Credits</h2><p data-v-60a4f63a>7.1 Some Modules are free. Others draw on third-party data sources and cost Credits. Credits are priced in US dollars, and the cost of a search is shown in the application before you run it.</p><p class="mt-4" data-v-60a4f63a>7.2 Premium and Teams plans include a Credit allowance each month, as shown on the pricing page. You can buy more Credits at any time.</p><p class="mt-4" data-v-60a4f63a>7.3 The Credit allowance included in your plan is refreshed each month and does not carry over. Any part of it you have not used by the end of the month expires. Credits you buy separately never expire while your account exists.</p><p class="mt-4" data-v-60a4f63a>7.4 Credits are spent when a search is run, whether or not the data source returns a result, because the data source charges us for the query either way.</p><p class="mt-4" data-v-60a4f63a>7.5 SargeBot uses its own Sarge Credit pool, which is separate from the Credits used for searches.</p><p class="mt-4" data-v-60a4f63a>7.6 Credits have no cash value, cannot be transferred to another account, and cannot be exchanged for money except as set out in clause 8.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>8. Cancelling, and refunds</h2><p data-v-60a4f63a>8.1 <strong class="text-white" data-v-60a4f63a>You can cancel your subscription at any time</strong> from your account, or by emailing <a href="mailto:[email protected]" class="text-orange-400 hover:underline" data-v-60a4f63a>[email protected]</a>. Cancelling stops the next renewal. You keep your paid features until the end of the period you have already paid for.</p><p class="mt-4" data-v-60a4f63a>8.2 <strong class="text-white" data-v-60a4f63a>Payments are not refundable</strong>, and we do not give refunds or credit for a part-used period or for unused Credits. The exceptions are where the law requires a refund, where clause 8.3 applies, and where we agree that there are exceptional circumstances.</p><p class="mt-4" data-v-60a4f63a>8.3 If you end your subscription because we have seriously broken these terms and have not put it right within 14 days of your telling us, we will refund the unused part of the period you have paid for.</p><p class="mt-4" data-v-60a4f63a>8.4 To ask for a refund or raise a billing question, email <a href="mailto:[email protected]" class="text-orange-400 hover:underline" data-v-60a4f63a>[email protected]</a> from the address on your account. We usually reply within 2 working days.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>9. What you may use the Service for</h2><p data-v-60a4f63a>9.1 You may use the Service only for a lawful professional purpose, such as cyber security, fraud prevention, due diligence, regulatory compliance, journalism, academic or non-profit research, legal work or law enforcement (a "Permitted Purpose").</p><p class="mt-4" data-v-60a4f63a>9.2 <strong class="text-white" data-v-60a4f63a>You are responsible for each search you run.</strong> Before you submit an email address, username, phone number or any other identifier, you must have a lawful reason to do so, and the authority to do it where your role requires one. You alone are responsible for deciding that a search, and what you then do with the result, is lawful, necessary and proportionate. Keep a record of your reason for each search, and give it to us if we ask. Information being publicly available does not, by itself, make it lawful for you to collect or use it.</p><p class="mt-4" data-v-60a4f63a>9.3 For the searches you run, you are the data controller and we act as your processor, as described
1in our Privacy Policy and Data Processing Agreement. You are responsible for meeting the obligations that data protection law places on a controller, including telling the people concerned where the law requires it.</p><p class="mt-4" data-v-60a4f63a>9.4 You must comply with every law that applies to you and your use of the Service, including data protection, privacy, computer misuse, harassment and anti-discrimination law.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>10. What you must not do</h2><p data-v-60a4f63a>10.1 You must not use the Service, or anything obtained from it:</p><div class="pl-6 mt-4 space-y-2" data-v-60a4f63a><p data-v-60a4f63a>⢠to harass, threaten, intimidate, blackmail or harm anyone;</p><p data-v-60a4f63a>⢠to find, follow or contact a person for a personal reason, including a personal dispute, a current or former relationship, or curiosity;</p><p data-v-60a4f63a>⢠to publish someone's private information, or to help anyone else do so;</p><p data-v-60a4f63a>⢠to impersonate anyone, or for fraud, phishing, spam or unsolicited marketing;</p><p data-v-60a4f63a>⢠to discriminate unlawfully against anyone, or to single people out because of a protected characteristic;</p><p data-v-60a4f63a>⢠to obtain, infer or expose sensitive information about a person, such as their health, religion, political opinions, sex life or sexual orientation, where that is unlawful or is not necessary for your Permitted Purpose;</p><p data-v-60a4f63a>⢠to decide whether someone is eligible for employment, tenancy, credit, insurance or any similar purpose;</p><p data-v-60a4f63a>⢠to make a decision about a person by automated means alone, where that decision has a legal or similarly significant effect on them;</p><p data-v-60a4f63a>⢠to gain, or try to gain, access to any account, system or data that you are not authorised to access;</p><p data-v-60a4f63a>⢠to search for information about anyone under 18; or</p><p data-v-60a4f63a>⢠for any purpose that is unlawful where you are, or where the person concerned is.</p></div><p class="mt-4" data-v-60a4f63a>10.2 You must not use the Service or its results for any purpose covered by the US Fair Credit Reporting Act, including assessing a person's eligibility for personal credit or insurance, employment, promotion, reassignment or retention, or tenancy.</p><p class="mt-4" data-v-60a4f63a>10.3 You must not:</p><div class="pl-6 mt-4 space-y-2" data-v-60a4f63a><p data-v-60a4f63a>⢠resell, sublicense, white-label or redistribute the Service or its raw results as a product of your own;</p><p data-v-60a4f63a>⢠use the web application through a robot, script or other automated means (automated access is through the API only);</p><p data-v-60a4f63a>⢠collect results in bulk to build a database of your own, or use the Service or its results to build or train a competing product;</p><p data-v-60a4f63a>⢠reverse engineer the Service, get round usage limits or security measures, or test it for vulnerabilities without our written permission;</p><p data-v-60a4f63a>⢠use the Service beyond the limits of your plan;</p><p data-v-60a4f63a>⢠overload or disrupt the Service, or interfere with anyone else's use of it;</p><p data-v-60a4f63a>⢠misrepresent the source, accuracy, age or meaning of a result, or suggest that we or a data source endorse you or your conclusions; or</p><p data-v-60a4f63a>⢠remove source attributions, notices or warnings from results.</p></div><p class="mt-4" data-v-60a4f63a>10.4 We audit accounts and review account activity for signs of misuse. You must cooperate with our reasonable enquiries into suspected misuse or a security incident connected with your account. Where we reasonably believe the Service is being misused, we may suspend or close the account under clause 21 and, where appropriate, report the matter to the relevant authorities.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>11. Results and third-party data sources</h2><p data-v-60a4f63a>11.1 The Service queries third-party data sources and publicly available sources, and brings the results together. We do not create the underlying information and we do not control the sources.</p><p class="mt-4" data-v-60a4f63a>11.2 <strong class="text-white" data-v-60a4f63a>Results are leads, not confirmed facts.</strong> They may be incomplete, out of date, duplicated or wrongly associated, and an identifier may have passed from one person to another. A result does not prove who someone is, that an account belongs to them, or that they have done anything. Where a result carries a match-accuracy score, that score comes from the data source and n
1ot from us.</p><p class="mt-4" data-v-60a4f63a>11.3 You must corroborate a result using other sources and your own professional judgement before you rely on it, publish it, or act on it in a way that affects anyone. You are responsible for the conclusions you draw and the actions you take.</p><p class="mt-4" data-v-60a4f63a>11.4 SargeBot and other AI features produce summaries and suggestions automatically. They can be wrong. Treat them in the same way as any other result.</p><p class="mt-4" data-v-60a4f63a>11.5 Data sources change, limit and withdraw their data, and so the Search types, Modules and sources available through the Service change over time. We may add, change, suspend or remove any of them at any time, including because of a change at the source, a legal requirement, a security concern or the cost of the data.</p><p class="mt-4" data-v-60a4f63a>11.6 Some data sources place their own conditions on the use of their data. Where we tell you about such a condition, you must follow it.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>12. The API</h2><p data-v-60a4f63a>12.1 This clause applies if we give you access to the UserSearch API, including OneQuery. The rest of these terms apply to API use as well.</p><p class="mt-4" data-v-60a4f63a>12.2 API keys are issued to you alone. Keep them secret, do not place them in code that others can read, and tell us at once if one may have been disclosed. We may revoke or replace a key to protect the Service.</p><p class="mt-4" data-v-60a4f63a>12.3 You must keep within the rate limits and usage limits we give you. We record the number, timing and type of API calls in order to bill you and to protect the Service.</p><p class="mt-4" data-v-60a4f63a>12.4 If you build the API into a system that other people use, you are responsible for that system and for those people, and you must hold them to terms that protect us, the data sources and the individuals concerned at least as well as these terms do. You must not let anyone query the API outside a system you control.</p><p class="mt-4" data-v-60a4f63a>12.5 API results reach your system over an encrypted connection. From that point you are responsible for storing them securely, keeping them no longer than you need, and deleting them safely.</p><p class="mt-4" data-v-60a4f63a>12.6 We may change or retire an API version, endpoint or field at any time. Where reasonably practicable, we will give advance notice of a change that would break an integration with a paid API that is generally available. You must move to supported versions promptly, and we are not liable for problems caused by an unsupported version or by your own systems.</p><p class="mt-4" data-v-60a4f63a>12.7 We may review API usage data to check that you are complying with these terms, to calculate fees and to detect misuse. If we ask, you must promptly give us the information we reasonably need to verify how you use the API, and put right anything that does not comply.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>13. Tools you download</h2><p data-v-60a4f63a>13.1 Where we provide a tool for you to download and run yourself, such as Forensic Capture, we give you a personal, non-exclusive, non-transferable licence to use it for a Permitted Purpose while your account is active. Apart from the right to use the Service under these terms, nothing in them gives you any right in it.</p><p class="mt-4" data-v-60a4f63a>15.2 While your account is active and you keep to these terms, you have a limited, non-exclusive, non-transferable right to use the Service for a Permitted Purpose.</p><p class="mt-4" data-v-60a4f63a>15.3 If you send us feedback or suggestions, we may use them freely and without payment.</p><p class="mt-4" data-v-60a4f63a>15.4 You must not use our name, logo or trade marks without our written consent, or register or use a domain name, company name, social media handle or trade mark that is the same as ours or could be confused with it.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>16. Confidentiality</h2><p data-v-60a4f63a>16.1 Each of us will keep confidential any non-public information received from the other that is marked confidential or is plainly confidential by its nature, and will use it only for the purposes of this agreement. That includes our API keys, non-public documentation and security information, and your Cases and the work they contain.</p><p class="mt-4" data-v-60a4f63a>16.2 This does not apply to information that is already public, that the recipient already knew or develops independently, or that must be disclosed by law or by order of a court or regulator.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>17. Availability and support</h2><p data-v-60a4f63a>17.1 We provide the paid Service with reasonable skill and care, and we aim to keep it available at all times. We do not promise that it will be uninterrupted or free of errors. What we do not promise</h2><p data-v-60a4f63a>
118.1 Apart from what these terms expressly say, and as far as the law allows, the Service and its results are provided "as is" and "as available", and every warranty, condition and other term that the law would otherwise imply is excluded. We give no warranty that results are accurate, complete or current, or that the Service is fit for any particular purpose, legal standard or outcome.</p><p class="mt-4" data-v-60a4f63a>18.2 The Service gives information. It does not give legal, financial or other professional advice.</p><p class="mt-4" data-v-60a4f63a>18.3 We use reasonable technical and organisational measures to protect the Service. No system is completely secure, and we do not promise that a security incident will never happen. You are responsible for the security of your own devices, networks and systems, and of any results you export or copy.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>19. Our liability to you</h2><p data-v-60a4f63a>19.1 <strong class="text-white" data-v-60a4f63a>Nothing in these terms limits or excludes our liability for</strong> death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit or exclude.</p><p class="mt-4" data-v-60a4f63a>19.2 Subject to clause 19.1, we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, for loss of or damage to data, or for any indirect or consequential loss.</p><p class="mt-4" data-v-60a4f63a>19.3 Subject to clause 19.1, we are not liable for loss arising from the content of a third-party data source, from your reliance on a result you did not corroborate, from a decision you made or an action you took on the basis of a result, or from your breach of these terms.</p><p class="mt-4" data-v-60a4f63a>19.4 Subject to clause 19.1, our total liability to you arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the total you paid us in the 12 months before the event giving rise to the claim, and (b) £100.</p><p class="mt-4" data-v-60a4f63a>19.5 The limits in this clause protect us. They do not limit what you owe us under clause 6 or clause 20.</p><p class="mt-4" data-v-60a4f63a>19.6 You agree that these limits are reasonable, given the nature of the Service, your duty to corroborate results, and the price you pay.</p><p class="mt-4" data-v-60a4f63a>19.7 Nothing in these terms affects a legal right that cannot lawfully be excluded.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>20. Your responsibility to us</h2><p data-v-60a4f63a>20.1 You will compensate us in full for the claims, regulatory actions, losses, penalties, costs and expenses we incur, including reasonable legal fees, that arise from: your unlawful, prohibited or unauthorised use of the Service or its results, or such use by anyone on your account; your publication, disclosure or other use of a result, or any decision or action you take on the basis of one; any system you connect to the API, and the people who use it; Your Data; or your breach of clause 3.1, 9, 10, 12 or 16.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>21. Suspension and ending this agreement</h2><p data-v-60a4f63a>21.1 You can stop using the Service at any time, and can ask us to delete your account by emailing <a href="mailto:[email protected]" class="text-orange-400 hover:underline" data-v-60a4f63a>[email protected]</a>.</p><p class="mt-4" data-v-60a4f63a>21.2 We may suspend or restrict your account at once, without notice, where we reasonably believe that it is being used in breach of clause 9 or 10, that someone else has gained access to it, that it poses a risk to any person, to a data source or to the Service, that you have gone beyond the limits of your plan, that a payment is overdue, or that the law, a regulator or a data source requires it. Where appropriate, we will tell you why.</p><p class="mt-4" data-v-60a4f63a>21.3 We may end this agreement at once by email if you breach clause 3, 4.2, 9, 10 or 12, if you no longer pass our vetting, if you change how you use the Service in a way we have not accepted, or if continuing to provide the Service would be unlawful or create a serious risk of harm. For any other breach, we may end it if you have not put the breach right within 14 days of being asked to. We may al
1so decide not to renew your subscription, by telling you before the renewal date. No refund is due in any of these cases.</p><p class="mt-4" data-v-60a4f63a>21.4 When this agreement ends, your right to use the Service ends, and we may disable your account and any API keys. Anything you obtained from the Service remains subject to clauses 9, 10 and 11. Clauses 8, 9, 10, 11, 14.4, 15, 16, 18, 19, 20 and 23 continue to apply.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>22. Changes to the Service and to these terms</h2><p data-v-60a4f63a>22.1 We may update these terms to reflect changes in the law, in the Service or in our data sources. The date at the top always shows the current version.</p><p class="mt-4" data-v-60a4f63a>22.2 We will publish the updated terms with the date they take effect, and may tell you about them by email, through your account or in another reasonable way. For a paid subscription, a change that materially reduces your rights will ordinarily take effect at your next renewal, unless an earlier date is needed by law, for security, because of a data source, or to prevent harm.</p><p class="mt-4" data-v-60a4f63a>22.3 If you do not accept a change, you may cancel under clause 8.1 before it takes effect. If you keep using the Service after a change takes effect, you accept it.</p><p class="mt-4" data-v-60a4f63a>22.4 We may change the Service itself at any time, as described in clause 11.5.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>23. General</h2><p data-v-60a4f63a>23.1 <strong class="text-white" data-v-60a4f63a>Events outside our control.</strong> Neither of us is liable for a failure or delay caused by something beyond our reasonable control. This does not excuse a failure to pay.</p><p class="mt-4" data-v-60a4f63a>23.2 <strong class="text-white" data-v-60a4f63a>Transfer.</strong> You may not transfer this agreement to anyone else without our written consent. We may transfer it to another company, including one that takes over all or part of our business.</p><p class="mt-4" data-v-60a4f63a>23.3 <strong class="text-white" data-v-60a4f63a>Other people.</strong> Nobody other than you and us has any right to enforce these terms.</p><p class="mt-4" data-v-60a4f63a>23.4 <strong class="text-white" data-v-60a4f63a>Whole agreement.</strong> These terms and the documents listed in clause 2 are the whole agreement between us about the Service. Neither of us has relied on any statement that is not set out in them. This does not limit liability for fraud.</p><p class="mt-4" data-v-60a4f63a>23.5 <strong class="text-white" data-v-60a4f63a>

An email is treated as received on the working day after it is sent.</p><p class="mt-4" data-v-60a4f63a>23.8 <strong class="text-white" data-v-60a4f63a>Subcontractors.</strong> We may use subcontractors and suppliers to provide the Service.</p><p class="mt-4" data-v-60a4f63a>23.9 <strong class="text-white" data-v-60a4f63a>Law and courts.</strong> These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except that we may apply to any court for an urgent order to protect confidential information, intellectual property or the security of the Service, or to prevent misuse.</p></section><section data-v-60a4f63a><h2 class="text-2xl font-semibold mb-4 text-white" data-v-60a4f63a>24.
