These Terms of Service ("Terms") are a binding agreement between you and <strong>Tackt LLC</strong>, a Utah limited liability company ("Tackt," "we," "us," or "our"), 4 governing your use of the Tackt browser extension, web dashboard, and website (together, the 5 "Service"). By creating an account, installing the extension, or otherwise using the Service, 6 you agree to these Terms and to our <a href="/privacy" class="text-dark underline">Privacy Policy</a>. If you don't agree, please 7 don't use the Service.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">1. Eligibility and accounts</h2> <p class="text-sm text-gray-600 mb-4">You must be at least 13 years old (or the minimum age of digital consent in your country) to use 8 the Service, and if you're under 18 you must have your parent or guardian's permission. By using 9 the Service, you represent that you can form a binding contract. If you use the Service on behalf 10 of an organization, you represent that you're authorized to bind that organization to these 11 Terms, and "you" includes that organization.</p> <p class="text-sm text-gray-600 mb-4">You're responsible for keeping your account credentials secure and for all activity under your 12 account. Provide accurate information, and tell us promptly if you suspect unauthorized use. If 13 you use Tackt without an account ("guest mode"), your notes are tied to a guest identifier stored 14 in your browser â you may lose access to them if you clear your browser data or don't create an 15 account.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">2. The Service</h2> <p class="text-sm text-gray-600 mb-4">Tackt lets you create rich-text notes and pin them to web pages, privately or shared with your 16 team. We're always improving the Service, so we may add, change, or remove features, and may set 17 or adjust limits (such as the number of notes, storage, or members) for different plans. Early or 18 beta features are provided as-is and may change or be discontinued.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">3. Your content</h2> <p class="text-sm text-gray-600 mb-4">You own the content you create with Tackt. You grant us a worldwide, non-exclusive, 19 royalty-free license to host, store, reproduce, modify (for formatting and technical purposes), 20 display, and transmit your content solely to operate and provide the Service â including sharing 21 it with the organization members you choose. You're responsible for your content and represent 22 that you have the rights to it and that it doesn't violate the law or anyone else's rights. We 23 don't use your content for any purpose other than providing the Service.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">4. Sharing and organizations</h2> <p class="text-sm text-gray-600 mb-4">You control each note's visibility â everyone in your organization, private to you, or specific 24 members. Content you share is visible to the members you share it with. Organization owners and 25 admins manage their members and shared content and are responsible for them; content shared with 26 an organization remains with that organization even after a member leaves. If you invite others 27 to an organization, you confirm you're authorized to do so.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">5. Acceptable use</h2> <p class="text-sm text-gray-600 mb-4">You agree not to:</p> <ul class="text-sm text-gray-600 space-y-1 list-disc pl-5 mb-4"><li>Use the Service for anything illegal, or to share content that's unlawful, infringing, harassing, hateful, defamatory, or harmful.</li> <li>Infringe anyone's intellectual property, privacy, or other rights.</li> <li>Send spam, malware, or attempt to gain unauthorized access to the Service or others' accounts.</li> <li>Reverse-engineer, decompile, scrape, or attempt to extract source code, except where the law expressly permits it.</li> <li>Circumvent plan limits, security, or usage restrictions, or overburden our infrastru
27cture.</li> <li>Impersonate others or misrepresent your affiliation.</li> <li>Use the Service to violate another website's terms or any third party's rights.</li> <li>Resell or commercially exploit the Service without our permission.</li></ul> <p class="text-sm text-gray-600 mb-4">We may investigate and take action â including suspending or terminating accounts â for conduct 28 that violates these Terms or creates risk or legal exposure.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">6. Plans, billing, and renewals</h2> <p class="text-sm text-gray-600 mb-4">Tackt offers a free plan and paid plans (such as Pro and Team). Current pricing is shown on our <a href="/#pricing" class="text-dark underline">pricing page</a> and at checkout. Paid plans are 29 billed through Stripe, and by subscribing you authorize recurring charges.</p> <ul class="text-sm text-gray-600 space-y-2 list-disc pl-5 mb-4"><li><strong>Auto-renewal.</strong> Subscriptions renew automatically at the end of each billing 30 period (monthly or yearly) at the then-current rate until you cancel.</li> <li><strong>Cancellation.</strong> You can cancel anytime. Cancellation takes effect at the end of 31 the current billing period, and you keep access until then.</li> <li><strong>No refunds.</strong> Except where required by law, all fees are non-refundable, and we 32 don't provide refunds or credits for partial periods, unused features, or downgrades.</li> <li><strong>Price changes.</strong> We may change prices; we'll give you advance notice, and 33 changes apply at your next renewal. Continuing to use a paid plan after a change takes effect 34 means you accept the new price.</li> <li><strong>Seats and taxes.</strong> Team plans are billed per seat, and seat changes may be 35 prorated. You're responsible for any applicable taxes. We may suspend or downgrade a plan for 36 failed or overdue payments.</li></ul> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">7. Third-party services and websites</h2> <p class="text-sm text-gray-600 mb-4">The Service relies on third-party providers â including Amazon Web Services, Stripe, and Google 37 (for "Sign in with Google") â and your use of those features may be subject to their terms. The 38 websites you place notes on are independent and are not affiliated with, controlled by, or 39 endorsed by Tackt. Your notes are stored separately and aren't visible to the website's owner, 40 but you're responsible for complying with those websites' own terms when you use them.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">8. Intellectual property</h2> <p class="text-sm text-gray-600 mb-4">Tackt and its licensors own the Service, including its software, design, and trademarks. We grant 41 you a limited, revocable, non-exclusive, non-transferable license to use the Service in 42 accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative 43 works from the Service except as expressly permitted. "Tackt," the Tackt logo, and related marks 44 are our trademarks; you may not use them without our prior written permission.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">9. Feedback</h2> <p class="text-sm text-gray-600 mb-4">If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, 45 royalty-free license to use them for any purpose, without any obligation to you.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">10. Copyright and DMCA</h2> <p class="text-sm text-gray-600 mb-4">We respect intellectual property and expect you to do the same. If you believe content on the 46 Service infringes your copyright, send a notice with the information required by the DMCA (17 47 U.S.C. § 512) to <a href="mailto:[email protected]" class="text-dark underline">[email protected]</a> or the mailing address below. Indemnification</h2> <p class="text-sm text-gray-600 mb-4">You agree to indemnify, defend, and hold harmless Tackt and its owners, employees, and agents 67 from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) 68 arising out of or related to: (a) your content; (b) your use of the Service; (c) your violation 69 of these Terms; or (d) your violation of any law or the rights of any third party.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">15. Changes to these Terms</h2> <p class="text-sm text-gray-600 mb-4">We may update these Terms from time to time. When we do, we'll revise the "Last updated" date 70 above, and for material changes we'll provide more prominent notice (such as an email or in-app 71 message). Changes take effect when posted, and continuing to use the Service after that means you 72 accept the updated Terms. If you don't agree, stop using the Service. For changes to Section 16, 73 see the opt-out described there.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">16. Dispute resolution, arbitration, and class-action waiver</h2> <p class="text-sm text-gray-600 mb-4"><strong>PLEASE READ THIS SECTION CAREFULLY â IT AFFECTS YOUR LEGAL RIGHTS.</strong> It requires 74 that most disputes be resolved by individual binding arbitration and waives your right to a jury 75 trial and to participate in class actions. This Section is governed by the Federal Arbitration 76 Act.</p> <ul class="text-sm text-gray-600 space-y-2 list-disc pl-5 mb-4"><li><strong>Informal resolution first.</strong> Before starting arbitration, you agree to email us 77 at <a href="mailto:[email protected]" class="text-dark underline">[email protected]</a> with a 78 brief description of the dispute and your contact details, and to work with us in good faith to 79 resolve it for at least 60 days.</li> <li><strong>Binding arbitration.</strong> If we can't resolve the dispute informally, it will be 80 settled by binding individual arbitration administered by the American Arbitration Association 81 (AAA) under its Consumer Arbitration Rules (and its Mass Arbitration Supplementary Rules, where 82 applicable), before a single arbitrator. The arbitration may take place in Utah or, at your 83 election, your home county, or by video or phone.</li> <li><strong>Class-action waiver.</strong> Disputes will be arbitrated only on an individual basis. 84 You and Tackt waive any right to bring or participate in a class, collective, consolidated, or 85 representative action. This waiver is a separate, independent agreement and survives even if the 86 agreement to arbitrate is found unenforceable.</li> <li><strong>Jury-trial waiver.</strong> You and Tackt waive any right to a jury trial for disputes 87 covered by this Section.</li> <li><strong>Exceptions.</strong> Either party may bring an individual claim in small-claims court, 88 and either party may seek injunctive or other equitable relief in court to protect its 89 intellectual property or stop unauthorized use of the Service.</li> <li><strong>Your right to opt out.</strong> You may opt out of this arbitration agreement by 90 emailing <a href="mailto:[email protected]" class="text-dark underline">[email protected]</a> within 30 days of first accepting these Terms, stating your name and that you opt out of 91 arbitration. Opting out won't affect any other part of these Terms.</li> <li><strong>Future changes.</strong> If we make a material change to this Section, you may reject it 92 by emailing us within 30 days of the change, in which case the most recent prior version 93 applies.</li> <li><strong>Severability.</strong> If the class-action waiver is found unenforceable as to a 94 particular claim, that claim will proceed in court, but the rest of this Section still applies.</li></ul> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">17. Governing law and venue</h2> <p class="text-sm text-gray-600 mb-4">These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws 95 rules, and the Federal Arbitration Act governs Section 16. For any dispute not subject to 96 arbitration, you and Tackt agree to the exclusive jurisdiction of the state and federal courts 97 located in Salt Lake County, Utah, and consent to personal jurisdiction there.</p> <h2 class="text-xl font-semibold text-dark mt-8 mb-3">18. General</h2> <p class="text-sm text-gray-600 mb-4">These Terms and our <a href="/privacy" class="text-dark underline">Privacy Policy</a> are the 98 entire agreement between you and Tackt regarding the Service. If any provision is found 99 unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver. You 100 may not assign these Terms without our consent; we may assign them in connection with a merger, 101 acquisition, or sale of assets. We're not liable for delays or failures caused by events beyond 102 our reasonable control. We may provide notices to you by email or within the Service; you must 103 send notices to us at the address or email below. There are no third-party beneficiaries, and 104 nothing here creates a partnership, agency, or employment relationship.
