A person who takes part in a research study is called a research subject or a research participant. \n\nYou will be given an electronic copy of this form by email if you choose to participate.\n\n<div class="highlight" id="highlight">\n <h4>What should I know about this research?</h4>\n <ul>\n <li>This e-consent is a summary of the study.</li>\n <li>Taking part in this research is voluntary. Whether you take part is up to you.</li>\n <li>You can choose not to take part. There will be no penalty or loss of benefits to which you are otherwise entitled.</li>\n <li>You can agree to take part and change your mind later. There will be no penalty or loss of benefits to which you are otherwise entitled.</li>\n <li>There are additional, optional future research opportunities that you may or may not agree to take part in. Your agreement to take part in future research will not impact your participation in this study.</li>\n <li>If you do not understand, ask questions.</li>\n </ul>\n</div>\n\n#### Why is this research being done?\nThe purpose of this research is to create a database of cancer samples and medical records from many people with various types of cancer. The goal is to improve care for patients who are diagnosed with cancer. Your samples and information from your medical records may be used in future cancer research projects. \n\nTravera, Inc., the Sponsor of this research study, wants to use these samples to test current and future cancer treatments. Travera wants access to your medical records to see if you are diagnosed with cancer, and if so, how your cancer may or may not progress in your lifetime. Novellia, who is partnering with Travera, will use their software to access your medical records and will share that data with Travera. They will not share your name or any other personally identifiable information with individuals at Travera who are performing research.\n\nWith your approval, your samples may also be used for additional research studies in the future. \n\n#### What happens to me if I agree to take part in this research?\nIf you agree to participate, your doctor will collect cells (“sample”) from your body through a standard of care (SOC) procedure such as a tumor biopsy, surgical tumor resection, blood collection or a malignant fluid (ascites) collection (“procedure”). Your doctor will then send your sample to Travera to perform one of their approved tests. This includes the Travera Nova or the Travera Rapid Selection™ (generally referred to as “Travera Test” in the rest of this document). Your doctor will consult with Travera and discuss with you which test is appropriate for your type of sample. As part of the Travera Test, the Sponsor is requesting that you allow them to perform measurements on cells from your sample. The results of the Travera Test will be shared in a report with your doctor, who will share the information with you. \n\nTravera and Novellia are also requesting permission to collect medical information from your electronic medical records and link this information to your samples. \n\nIf you agree to optional Question 1 in the “Consent for Future Testing” section, you may be contacted to participate in future research studies different from this one.\n\nIf you agree to future research, as specified in Question 2 of the optional “Consent for Future Testing” section, any additional remaining samples after your Travera \n\nTest has been performed will be stored until they are used, or you ask for them to be destroyed. You will not receive any commercial benefit if a test, cancer diagnostic or therapeutic is developed using research from your cells.\
1n\n#### How long will I be in this research?\nYou can be in the research for as long as you would like to participate. \n\nYour time in the study will include your standard of care procedure to collect your cells. Periodically, Novellia will contact you to request continued access to your medical records. If you do not respond, Novellia will stop collecting information from your EMR until you confirm they can continue to do so. In the event Novellia does not receive a response from you, Novellia may contact your doctor.\n \nNovellia will continue to contact you periodically to request this access unless you ask them to stop. If you ask them to stop, Novellia will no longer collect information from your medical records.\n\n#### How many people will take part in this research?\nIt is estimated that up to 50,000 people may take part in this research study. \n\n#### What are my responsibilities if I take part in this research?\nYour responsibilities, if you agree to participate, are to receive your standard of care procedure, and to respond to Novellia’s periodic request for continued medical record access. You will also be asked to continue with your routine care. \n\n#### What happens to my private information collected for this research?\nIf you agree to participate in this research, Novellia, and some individuals at Travera who will process your samples, will have access to information contained in your electronic medical record (EMR), including past and present medical information and research records. This includes information like your name, contact details, gender, height, weight, and medical history. This is so they can perform the Travera Test and share the results with your doctor. Your personally identifiable information will not be shared with any entities outside of Novellia and the parties listed below, as required by law:\n- Individuals at Travera, the Sponsor of this research, who process your samples and send the Travera Test report to your doctor\n- Persons or companies working for, with or owned by Travera \n- Advarra, the Institutional Review Board (IRB) for this study\n- Government agencies, such as the Food and Drug Administration (FDA) and the Department of Health and Human Services (DHHS)\n\nThis access will not violate your confidentiality and will only occur to the extent permitted by the applicable laws and regulations. This information will only be shared to do the research, to study the results, and to make sure that the research was done right. By signing this informed consent form, you are approving such access. If you choose not to give such access, you will not be able to be in this research.\n\nTo ensure privacy, your name and other identifying information will not be attached to records or samples released for research purposes. Instead, you will only be identified by a study specific code. The link between your identity and the study code will be kept secure by Travera and Novellia. Individuals at Travera who are performing research will not have access to your personal information. Your coded data will be forwarded to Travera’s researchers and its service providers for activities related to the study (e.g. laboratory analysis). It will be transferred into a secure computer database and processed to allow the results of this study to be analyzed.\n\nWe may publish the results of this research. However, we will keep your name and other identifying information confidential. We will protect your information from disclosure to others to the extent required by law, but we cannot promise complete secrecy.\n\nYour samples and/or information may be used in future research studies for other cancer-related tests, therapies and treatments.\n\n#### Protections Against Misuse of Genetic Information\nSome of your sample may be used for genetic testing. There are laws that protect you from discrimination based on your genetic information. A Federal law called the Genetic Information Nondiscrimination Act (GINA) generally makes it illegal for health insurance companies, group health plans, and most employers to discriminate against you based on your genetic information. GINA does not protect you against genetic discrimination by companies that sell life insurance, disability insurance, or long-term care insurance. GINA also does not protect you against discrimination based on an already-diagnosed genetic condition or disease. In some cases, employers could use your genetic information to decide whether to hire or fire you. Your genetic test results will not be shared with you, your doctor, any insurance company, your employer, your family, or any other doctor who is treating you or may treat you in the future. However, there is a risk that someone could get access to your genetic information and identify you by name.\n\n#### Additional Privacy Protections\nIf you agree to optional Question 3 in the “Consent for Future Testing” section, some of the cells from your sample after the Travera Test has been performed may be grown for future use, and/or used, licensed or sold for c
1ommercial purposes. Your personally identifiable information will be removed prior to such use.\n\n#### May I review or copy my information?\nYou will be given a copy of your CLIA-approved Travera Test results by your doctor, or can request one directly from Travera. You will not be provided any other information generated as part of this registry study.\n\n#### Could being in this research hurt me?\nIt is not expected that participating in this research could harm you. You will receive no other procedures because of this research outside of the standard of care procedure to collect your sample. \n\nIt is also possible there could be an accidental release of your personally identifiable information. We will do everything possible to protect your privacy. We will reduce this risk by using study identification numbers rather than names or other personal identifiers on your stored sample. Only members of Novellia, your doctor, and those at Travera who process your samples and provide the Travera Test report back to your doctor, will have access to any identifiable information collected from you as part of this research. \n\n#### Will it cost me money to take part in this research?\nTo participate in this research, you must request the Travera Test from your doctor. You will be responsible for paying the cost of the Travera Test.\n\n#### Will being in this research benefit me?\nIf you agree to take part in this research, the test reports generated will be shared with your doctor about how your cells respond to various established cancer therapies. This test is not a treatment itself, and the only known benefit from this study is the satisfaction of contributing to scientific knowledge. Future patients with cancer may benefit from the knowledge gained by use of your additional samples in future research. \n\nIf you agree to the use of your samples for additional future research in Question 2 of the optional “Consent for Future Testing” section, you will not receive any benefit from their use or commercialization. \n\n#### What are my options besides participating in this research?\nThis research is optional and you do not have to participate. If you choose not to participate, you can still request a Travera Test from your doctor outside of this research. There is no penalty or loss of benefits to which you are otherwise entitled if you choose not to participate. \n\n\n#### Who can answer my questions about this research?\nIf you have questions, you can reach out to … at Novellia. Their contact information will also be available at list below\n\n#### Can I be removed from this research without my approval?\nYes, your doctor or the Sponsor may need to remove you from the study. If you cannot undergo the SOC procedure to collect your cells for any reason, you may be removed from the research.\n\nIf your SOC procedure to determine if you have cancer comes back negative, you will be removed from this research. Your consolidated Novellia EMR portal, created as a link to the study, will be maintained for your continued use unless you request account deletion.\n\n#### What happens if I agree to be in this research, but I change my mind later?\nYour permission will be good until December 31, 2070. You can withdraw from this research at any time. If you withdraw your permission, we will stop collecting new information about you and you will be removed from the research. We may still use the information that was already collected. You have the right to require that any previously stored samples are destroyed. You also have the right at any time to withdraw from any previously accepted optional future testing. \n\nIf you wish to withdraw a part or all of your information, please contact\nCONTACT INFORMATION\n\n#### Will I be paid to take part in this research?\nYou will not be paid for this research.\n':'\n#### RESEARCH PARTICIPANT CONSENT FORM\n## Outcomes Registry for Biomarker-Informed Therapy (ORBIT): A Decentralized, Prospective U.S. Registry that Collects Human Specimens and Longitudinal Real-World Data (RWD) paired with CLIA-approved Tests\n\n[This informed consent form will only be available electronically and will be converted into a format conducive to e-consent.]\n\nYou are being invited to take part in a research study. NOVELLIA HAS
1NO SPECIAL RELATIONSHIP WITH OR FIDUCIARY DUTY TO YOU. NOVELLIA, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SERVICES OR THE INFORMATION, SERVICES AND MATERIALS CONTAINED THEREIN (I) DO NOT ASSUME ANY LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, QUALITY, COMPATIBILITY, SECURITY, ERROR-FREE NATURE, OR USEFULNESS OF ANY INFORMATION, SERVICES AND MATERIALS PROVIDED ON OR THROUGH THE SERVICES; (II) EXPRESSLY DISCLAIM ANY RESPONSIBILITY FOR ANY USE OF OR RELIANCE ON THE SITES, CONTENT, OR SERVICES, OR FOR ANY DISRUPTIONS TO OR DELAY IN THE SITES, CONTENT, OR SERVICES; AND (III) DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR THE STATED PURPOSE. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.\nPLEASE NOTE THAT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.\n\n#### 16. Limitation of Liability\nTO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU UNDERSTAND AND AGREE THAT NOVELLIA, ALONG WITH ITS EMPLOYEES, AFFILIATES, AGENTS, PARTNERS, SUPPLIERS, SERVICE PROVIDERS, LICENSORS, CONTENT PROVIDERS, AND ANY RELATED THIRD PARTIES (COLLECTIVELY, “THIRD PARTIES”), WILL NOT BE HELD RESPONSIBLE FOR ANY DAMAGES YOU MAY INCUR. THIS INCLUDES ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, SUCH AS LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF NOVELLIA OR ITS THIRD PARTIES WERE AWARE OF THE POSSIBILITY OF SUCH DAMAGES.\nTHIS LIMITATION APPLIES TO DAMAGES ARISING FROM:\n- THE COST OF OBTAINING SUBSTITUTE GOODS OR SERVICES;\n- ISSUES LIKE BUGS, VIRUSES, OR SIMILAR PROBLEMS;\n- YOUR USE OF OR INABILITY TO USE THE SERVICES, OR RELIANCE ON ANY CONTENT OR MATERIALS AVAILABLE THROUGH THE SERVICES;\n- UNAUTHORIZED ACCESS TO OR CHANGES IN YOUR TRANSMISSIONS OR DATA;\n- ACTIONS OR STATEMENTS BY THIRD PARTIES RELATED TO OUR SERVICES;\n- YOUR FAILURE TO KEEP YOUR ACCOUNT INFORMATION SECURE;\n- ACTIONS TAKEN BY NOVELLIA OR ITS THIRD PARTIES DURING INVESTIGATIONS BY LAW ENFORCEMENT OR OTHER GOVERNMENT AGENCIES;\n- ANY IMPROPER AUTHORIZATION TO USE THE SERVICES BY ANOTHER INDIVIDUAL OR ENTITY.\nNOVELLIA AND ITS THIRD PARTIES' MAXIMUM LIABILITY TO YOU FOR ANY DAMAGES, LOSSES, OR CAUSES OF ACTION SHALL NOT EXCEED $500. YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS ARE A FAIR ALLOCATION OF RISK, AND THEY ARE ESSENTIAL TO THE TERMS UNDER WHICH WE PROVIDE OUR SERVICES TO YOU.\nPLEASE NOTE THAT IN SOME JURISDICTIONS, THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES MAY NOT BE ALLOWED, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. IF ANY PART OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.\n\n#### 17. Dispute Resolution\nWhile we don't anticipate any disputes arising, to the extent they do we would prefer they be subject to arbitration. Thus, unless within 30 days of accepting this agreement you give us written notice that you do not agree to arbitration, any disputes under these Terms will be subject to arbitration. If, for some reason, we have a dispute and it proceeds in court rather than via arbitration, our dispute will be resolved by a judge, and not involve a class action.\nIf you are located in, are based in, have offices in, or do business in a jurisdiction in which this section is enforceable, you understand and agree that any dispute, claim, or controversy arising under or in connection with these Terms, including your use and access to the Services or any other content, including, but not limited to, claims as to whether any services rendered by Novellia or persons employed or engaged by Novellia were unnecessary or unauthorized or were improperly, negligently, or incompetently rendered, shall be finally and exclusively resolved by binding arbitration under the American Arbitration Association's (“AAA”) Commercial Arbitration Rules and Mediation Procedures and Consumer-Related Disputes Supplementary Procedures, and not by a lawsuit or resort to court process, except for judicial review of arbitration proceedings that may be required by law. Each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. It is y
1our responsibility to pay any AAA filing, administrative and arbitrator fees as set forth in the AAA Rules.\nYou acknowledge and agree that both parties to the Terms waive the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. The parties further agree that the arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of this agreement to arbitrate. Any such controversy or claim shall be arbitrated on an individual basis, unless both parties otherwise agree in writing.\nIf you are not located in, are not based in, do not have offices in, and do not do business in the United States, any arbitration between you and Novellia will be finally settled under the Rules of Arbitration of the International Chamber of Commerce (“ICC Rules”) by one or more arbitrators appointed in accordance with the ICC Rules and will be administered by the International Court of Arbitration of the International Chamber of Commerce.\nYou may cancel this agreement to arbitrate by giving written notice to Novellia within 30 days of the date of your acceptance. Should you choose to withdraw from the arbitration provision, all other provisions of the Terms shall remain in full force and effect.\nIf for any reason a claim proceeds in court rather than arbitration, each party waives any right to a jury trial.\n\n#### 18. Time Limit for Cause of Action\nYou have one year to bring a claim or dispute under these Terms.\nAny claim under the Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred; claims made under the separate terms and conditions of purchase for goods or services are not subject to this limitation. This arbitration agreement will survive the termination of your relationship with Novellia.\n\n#### 19. Miscellaneous\nEntire Agreement. The Terms constitute the entire agreement between Novellia and you; provided, however, that certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages within our Services. You may also be subject to additional terms, conditions or policies that may apply when you access or use the services, content or software of our affiliates, third parties or collaborating partners.\nAssignment. You may not assign or delegate any rights or obligations under the Terms, and any such attempts will be ineffective. Novellia can freely assign or delegate all rights and obligations under the Terms in part or in its entirety without notice to you.\nNo Third-Party Beneficiaries. You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.\nGoverning Law. Except to the extent they are preempted by U.S. federal law or mandatory laws of any other jurisdiction, the laws of the State of New York without regard to conflicts of law principles govern any legal action or proceeding between Novellia and you arising out of or related to the Terms, including your use and access to the Services or any other content. Any such legal action or proceeding will be conducted in the English language.\nWaiver and Severability. A failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any of the remaining provisions.\nThird Party Links. Our Services provide, and third parties may provide, hyperlinks to other sites, resources, or materials. We have no control over such hyperlinks. You acknowledge and agree that Novellia is not responsible for the availability of such external sites or resources, and is not responsible or liable for any content, advertising, products, or other materials on or available from such hyperlinks. Our notices to you may be made via either email, phone, text/SMS or similar messaging services or regular mail based on the information we have on file and as permitted by applicable law. If you choose to receive text or SMS communications from Novellia, message and data rates may apply.
