They are\n obliged to abstain from copying, transmitting, disclosing, making\n extracts, or distributing Customer Personal Data to any other party,\n including other personnel of CareerLunch not engaged in the\n performance of the Service Contract and this Agreement.\n\n4. Customer takes note of CareerLunch\'s Processors as listed in\n **Appendix 3**.\n\n2. CareerLunch shall require each Processor to comply with the terms of\n this Agreement.\n\n3. CareerLunch undertakes to notify Customer in a suitable manner at\n least fifteen (15) working days in advance of changes regarding the\n Processors. If Customer does not object to such changes within\n ten (10) working days, Customer shall be deemed to have given its\n consent to the changes. If Customer objects to the changes within\n the aforementioned period, CareerLunch may, at its option, either\n refrain from implementing the changes not accepted by Customer or\n terminate the Service Contract with Customer with immediate effect.\n\n4. If CareerLunch transfers Customer Personal Data to a Processor\n located in a country that is not considered to provide an adequate\n level of data protection, CareerLunch\n shall implement the standard contractual clauses approved by the\n responsible European and Swiss data protection authorities.\n CareerLunch shall ensure that these standard contractual clauses are\n incorporated into the agreement between CareerLunch and the\n Processor, and that the Processor complies with the obligations set\n forth in these clauses.\n\n5. CareerLunch shall conduct a transfer impact assessment if required\n by the standard contractual clauses or applicable data protection\n law. The impact assessment shall identify and assess the potential\n risks associated with the transfer of Customer Personal Data to a\n country without an adequate level of data protection. CareerLunch\n shall take appropriate mitigation measures to address any identified\n risks.\n\n6. In addition to the standard contractual clauses and any transfer\n impact assessment requirements, CareerLunch shall implement any\n further protective measures that may be necessary to ensure an\n adequate level of data protection in the country in which the\n Processor processes the Customer Personal Data. These measures may\n include additional contractual safeguards, te
3chnical means, or\n organizational procedures.\n\n## Requests from Individuals and Data Protection Authorities\n\n1. Individuals affiliated with the Customer may directly exercise the\n rights conferred to them under Data Protection Law with CareerLunch.\n\n2. CareerLunch commits to full compliance with all valid requests for\n information, correction, deletion or irreversible anonymization of\n Customer Personal Data.\n\n3. CareerLunch is obligated to cooperate with requests from the\n relevant data protection authority overseeing the Customer. Customer\n shall reimburse CareerLunch for the costs incurred in response to\n such requests.\n\n## Location of Data Processing\n\nUnless the Parties expressly agree otherwise (e.g., in **Appendix\n3**), CareerLunch and its Processors will only process Customer\nPersonal Data in Switzerland.\n\n## Retention Period, Return and Deletion of Data\n\n1. CareerLunch shall not retain Customer Personal Data for longer than\n is strictly necessary and in no case for longer than the term of the\n Service Contract (subject to Section 11.2), unless the Parties\n have agreed on a longer term. In this case, CareerLunch shall not\n retain the Personal Data beyond the agreed period.\n\n1. Within one (1) month from the expiry or termination of the Service\n Contract, Customer may request CareerLunch to provide Customer, at\n CareerLunch\'s expense, with all Customer Personal Data processed by\n CareerLunch in a common technical format chosen by CareerLunch.\n\n1. CareerLunch is obliged to delete all Customer Personal Data\n completely and irrevocably if Customer so requests and provided that\n there is no legal retention obligation.\n\n1. Notwithstanding the foregoing, CareerLunch may use the Customer\n Personal Data in anonymized form and beyond the term of the Service\n Contract for error analysis, further development and improvement of\n its products and services, statistical and analysis purposes.\n\n## Liability\n\nThe liability provisions of the Service Contract apply.\n\n## Other provisions\n\n1. In the event of a conflict between (one or more provisions of) this\n Agreement and (one or more provisions of) the Service Contract, the\n Agreement shall prevail.\n\n2. The term of this Agreement is identical to the term of the Service\n Contract. Provisions of this Agreement, which by their nature, e.g.\n in connection with the execution of this Agreement, shall continue\n to apply after the ending of the Agreement, including - but not\n limited to – Section 2.4, Section 5, Section 9, Section 11.1 and Section\n 11.5 shall remain in full force and effect even after the expiry or\n termination of the Agreement.\n\n3. Should any provision of the Agreement be declared invalid or void,\n the remaining provisions shall remain in full force and effect. The\n Parties undertake to replace an invalid/void provision with a valid\n provision that comes as close as possible to the economic purpose of\n the ineffective provision. The same shall apply in the event of a\n loophole.\n\n4. This Agreement shall be governed by the substantive laws of\n Switzerland, excluding the United Nations Convention on Contracts\n for the International Sale of Goods of April 11, 1980 (Vienna Sales\n Convention) and any amendments and supplements thereto.\n\n5. All disputes arising from or in connection with this Agreement,\n including those concerning its valid conclusion, legal effect,\n amendment and termination, shall be judged by the ordinary courts at\n the registered office of CareerLunch.\n\n<div class="appendix">\n\n## Appendix 1: Processing of Personal Data\n\n### Subject-matter of the processing\n\nCareerLunch processes Customer Personal Data to connect individuals\naffiliated with the Customer with Talents.\n\n### Nature and purpose of the processing\n\nCareerLunch processes Customer Personal Data for the following purposes:\n\n- Granting access to the CareerLunch Platform for Customer Personnel and Customer Dashboard Managers.\n\n- Facilitating the connection of individuals affiliated with the Customer with Talents, including through smart matching capabilities.\n\n- Facilitating face-to-face meetings between individuals affiliated with the Customer and Talents through smart scheduling tools.\n\n- Improving existing and developing new services by anal
