How the Program Works</strong></h2> 87 <p> 88 <span style=")" 89 >Approved Affiliates may receive a unique referral link, referral code, coupon code, or 90 other tracking method provided by Petfairs.</span 91 > 92 </p> 93 <p><br /></p> 94 <p> 95 <span style=")" 96 >Affiliates may share these links or codes through approved channels, including websites, 97 blogs, social media, videos, newsletters, communities, or direct referrals.</span 98 > 99 </p> 100 <p> 101 <span style=")" 102 >Affiliates choose whether, when, where, and how often they promote Petfairs.</span 103 > 104 </p> 105 <p><span style="); font-family: Arial"> </span></p> 106 <p><span style=")">Petfairs does not require Affiliates to:</span></p> 107 <p><span style="); font-family: Arial"> </span></p> 108 <ul> 109 <li><span style=")">Make a minimum number of posts;</span></li> 110 <li><span style=")">Generate a minimum number of clicks;</span></li> 111 <li>
112 <span style=")" 113 >Generate a minimum number of customer registrations;</span 114 > 115 </li> 116 <li><span style=")">Generate a minimum amount of sales;</span></li> 117 <li><span style=")">Contact or develop retail stores;</span></li> 118 <li><span style=")">Maintain local inventory;</span></li> 119 <li><span style=")">Provide warehousing or delivery services;</span></li> 120 <li> 121 <span style=")">Provide customer service on behalf of Petfairs;</span> 122 </li> 123 <li><span style=")">Submit market or competitor reports.</span></li> 124 </ul> 125 <p><span style="); font-family: Arial"> </span></p> 126 <p><span style="); font-family: Arial"> </span></p> 127 <h2><strong>3. Commission</strong></h2> 128 <p><span style="); font-family: Arial"> </span></p> 129 <p> 130 <span style=")" 131 >Unless a different commission rate is displayed in the Affiliate dashboard or agreed in 132 writing for a specific campaign, the standard Affiliate commission is </span 133 ><strong>5% of eligible Net Sales Revenue </strong 134 ><span style=")" 135 >generated through the Affiliate's approved referral method.</span 136 > 137 </p> 138 <p style="text-indent: 3.45pt"> 139 <span style=")" 140 >"Net Sales Revenue" means the amount actually paid by the referred customer for eligible 141 products, excluding:</span 142 > 143 </p> 144 <ul> 145 <li><span style=")">Cancellations;</span></li> 146 <li><span style=")"> Refunds and returns;</span></li> 147 <li><span style=")"> Discounts and coupons;</span></li> 148 <li><span style=")"> Taxes;</span></li> 149 <li><span style=")"> Shipping charges;</span></li> 150 <li><span style=")"> Payment processing charges;</span></li> 151 <li><span style=")"> Fraudulent or invalid transactions.</span></li> 152 </ul> 153 <p> 154 <span style=")" 155 >Commission is earned only on successfully completed and valid transactions that can 156 reasonably be attributed to the Affiliate through Petfairs' tracking system.</span 157 > 158 </p> 159 <p> 160 <span style=")" 161 >Different products, promotions, customers, or campaigns may have different commission 162 rates. Any special commission structure will be shown in the Affiliate dashboard or 163 communicated separately.</span 164 > 165 </p> 166 <p><span style="); font-family: Arial"> </span></p> 167 <p><span style="); font-family: Arial"> </span></p> 168 <h2><strong>4. Commission Payment</strong></h2> 169 <p><span style="); font-family: Arial"> </span></p> 170 <p> 171 <span style=")" 172 >Eligible commissions are settled monthly according to the Program's applicable payment 173 schedule.</span 174 > 175 </p> 176 <p><span style="); font-family: Arial"> </span></p> 177 <p> 178 <span style=")" 179 >Petfairs will generally process eligible monthly commissions by the 25th of the applicable 180 settlement month after transaction validation.</span 181 > 182 </p> 183 184 <p> 185 <span style=")" 186 >Affiliates must provide accurate payment and tax information before payment can be issued.</span 187 > 188 </p> 189 <p> 190 <span style=")" 191 >An invoice will only be required where applicable by law, local tax requirements, or the 192 applicable payment method.</span 193 > 194 </p> 195 <p> 196 <span style=")" 197 >The Affiliate is responsible for their own applicable taxes, reporting obligations, and tax 198 filings.</span 199 > 200 </p> 201 <p><span style="); font-family: Arial"> </span></p> 202 <p> 203 <span style=")" 204 >If an order is later cancelled, refunded, charged back, determined to be fraudulent, or 205 otherwise becomes ineligible, the corresponding commission may be deducted from unpaid 206 commissions or a future settlement.</span 207 > 208 </p> 209 210 <p><span style=")"> </span></p> 211 <h2><strong>5. No Guarantee of Earnings</strong></h2> 212 <p> 213 <span style=")" 214 >Petfairs does not guarantee any minimum level of traffic, referrals, sales, commissions, or 215 income from participation in the Program.</span 216 > 217 </p> 218 <p>
219 <span style=")" 220 >Affiliate earnings depend on customer activity and qualifying purchases.</span 221 > 222 </p> 223 <p><span style="); font-family: Arial"> </span></p> 224 <p> 225 <span style=")">Lack of sales or referrals is </span 226 ><strong>not a breach of these Terms </strong 227 ><span style=")" 228 >and will not create any penalty, debt, or payment obligation for the Affiliate.</span 229 > 230 </p> 231 <p><span style=")"> </span></p> 232 <h2><strong>6. Affiliate Marketing and Disclosures</strong></h2> 233 <p> 234 <span style=")" 235 >Affiliates must comply with applicable advertising, endorsement, consumer protection, 236 privacy, email marketing, and platform rules.</span 237 > 238 </p> 239 <p> 240 <span style=")" 241 >When an Affiliate receives or may receive commissions, free products, discounts, payments, 242 or other</span 243 > 244 </p> 245 <p> 246 <span style=")" 247 >benefits from Petfairs, the Affiliate must clearly disclose the relationship whenever 248 required by applicable law.</span 249 > 250 </p> 251 <p><span style=")">Examples may include clear disclosures such as:</span></p> 252 <ul> 253 <li><span style=")"> "Affiliate link"</span></li> 254 <li> 255 <span style=")"> "I may earn a commission from purchases"</span> 256 </li> 257 <li><span style=")"> "Sponsored"</span></li> 258 <li><span style=")"> "Ad"</span></li> 259 </ul> 260 <p> 261 <span style=")" 262 >The disclosure should be clear, easy to understand, and placed where the audience can 263 reasonably notice it.</span 264 > 265 </p> 266 <p> 267 <span style=")" 268 >Affiliates must express their own honest opinions and may not make false, misleading, 269 deceptive, or unsupported claims about Petfairs, its products, prices, shipping, 270 services, or business opportunities.</span 271 > 272 </p> 273 <p> 274 <span style=")" 275 >Affiliates may not create or publish fake reviews, testimonials, customer experiences, or 276 sales claims.</span 277 > 278 </p> 279 <p><span style="); font-family: Arial"> </span></p> 280 <p><span style="); font-family: Arial"> </span></p> 281 <h2><strong>7. Permitted and Prohibited Promotion</strong></h2> 282 <p><span style="); font-family: Arial"> </span></p> 283 <p> 284 <span style=")" 285 >Affiliates may use reasonable and lawful methods to promote Petfairs.</span 286 > 287 </p> 288 <p><span style="); font-family: Arial"> </span></p> 289 <p><span style=")">Affiliates may not:</span></p> 290 <p><span style="); font-family: Arial"> </span></p> 291 <ol> 292 <li><span style=")"> Create fake customer accounts or orders;</span></li> 293 <li> 294 <span style=")"> 295 Manipulate referrals, clicks, conversions, or sales data;</span 296 > 297 </li> 298 <li> 299 <span style=")"> 300 Use stolen payment information or fraudulent transactions;</span 301 > 302 </li> 303 <li> 304 <span style=")"> 305 Misrepresent themselves as an employee, authorized sales representative, or official 306 spokesperson of Petfairs;</span 307 > 308 </li> 309 <li> 310 <span style=")"> 311 Make guarantees regarding earnings, product performance, shipping times, or other matters 312 unless specifically authorized by Petfairs;</span 313 > 314 </li> 315 <li> 316 <span style=")"> 317 Send unlawful or deceptive spam or unsolicited bulk commercial messages;</span 318 > 319 </li> 320 <li> 321 <span style=")"> 322 Register domains, social media accounts, or business names designed to impersonate 323 Petfairs;</span 324 > 325 </li> 326 <li> 327 <span style=")"> Use Petfairs trademarks in a misleading manner;</span> 328 </li> 329 <li> 330 <span style=")"> 331 Modify Petfairs coupons, prices, promotional terms, or marketing claims without 332 authorization;</span 333 > 334 </li> 335 <li> 336 <span style=")"> 337 Engage in illegal, fraudulent, deceptive, abusive, or intentionally misleading 338 conduct.</span 339 > 340 </li> 341 </ol> 342 <p>
343 <span style=")" 344 >Petfairs may withhold commissions directly associated with fraudulent or prohibited 345 activity.</span 346 > 347 </p> 348 <p><span style="); font-family: Arial"> </span></p> 349 <h2><strong>8. Other Brand and Affiliate Relationships</strong></h2> 350 <p><span style="); font-family: Arial"> </span></p> 351 <p><span style=")">The Petfairs Affiliate Program is non-exclusive.</span></p> 352 <p> 353 <span style="); font-family: Arial"> </span 354 ><span style=")">Affiliates may promote or work with other:</span> 355 </p> 356 <ul> 357 <li><span style=")"> Pet brands;</span></li> 358 <li><span style=")"> Retailers;</span></li> 359 <li><span style=")"> Wholesale suppliers;</span></li> 360 <li><span style=")"> Marketplaces;</span></li> 361 <li><span style=")"> Affiliate networks;</span></li> 362 <li><span style=")"> E-commerce platforms;</span></li> 363 <li><span style=")"> Other commercial partners.</span></li> 364 </ul> 365 <p> 366 <span style=")" 367 >Participation in another affiliate or commercial program alone is not a violation of these 368 Terms.</span 369 > 370 </p> 371 <p><span style="); font-family: Arial"> </span></p> 372 <p style="text-align: justify"> 373 <span style=")" 374 >If Petfairs and an Affiliate separately agree to an exclusive sponsored campaign, the 375 exclusivity requirement must be stated in a separate written campaign agreement and 376 applies only to that campaign.</span 377 > 378 </p> 379 <p><span style="); font-family: Arial"> </span></p> 380 <p><span style="); font-family: Arial"> </span></p> 381 <h2><strong>9. Petfairs Brand Assets</strong></h2> 382 <p><span style="); font-family: Arial"> </span></p> 383 <p> 384 <span style=")" 385 >During participation in the Program, Petfairs grants the Affiliate a limited, 386 non-exclusive, non-transferable, revocable license to use approved Petfairs trademarks, logos, images, videos, 387 product information, and other marketing materials solely for legitimate promotion of 388 Petfairs.</span 389 > 390 </p> 391 <p> 392 <span style=")" 393 >Affiliates may resize or format approved materials as reasonably necessary for the relevant 394 platform but may not materially alter Petfairs trademarks or create misleading brand 395 representations.</span 396 > 397 </p> 398 <p> 399 <span style=")" 400 >All Petfairs trademarks and brand assets remain the property of Petfairs or their 401 respective owners.</span 402 > 403 </p> 404 <p><span style=")"> </span></p> 405 <h2><strong>10. Affiliate Content</strong></h2> 406 <p><span style="); font-family: Arial"> </span></p> 407 <p> 408 <span style=")" 409 >The Affiliate retains ownership of their original photos, videos, articles, posts, reviews, 410 and other original content.</span 411 > 412 </p> 413 <p> 414 <span style=")" 415 >Participation in the Program does not automatically transfer ownership of an Affiliate's 416 content to Petfairs.</span 417 > 418 </p> 419 <p> 420 <span style=")" 421 >If Petfairs wishes to use an Affiliate's original content for paid advertising, websites, 422 email marketing, or other commercial purposes beyond ordinary platform sharing or reposting, 423 Petfairs may request permission or enter into a separate content usage agreement where appropriate.</span 424 > 425 </p> 426 <p><span style=")"> </span></p> 427 <h2><strong>11. Customer and Audience Data</strong></h2> 428 <p><span style="); font-family: Arial"> </span></p> 429 <p> 430 <span style=")" 431 >Customer accounts, orders, transactions, and information collected directly through the 432 Petfairs platform remain under Petfairs' control and are handled according to applicable 433 Petfairs policies.</span 434 > 435 </p> 436 <p> 437 <span style=")" 438 >Affiliates retain ownership and control of their independently developed audiences, 439 followers, subscriber lists, websites, social media accounts, and independently collected 440 data.</span 441 > 442 </p> 443 <p>
444 <span style=")" 445 >Neither party receives ownership of the other party's independently developed audience or 446 business data solely because of participation in the Affiliate Program.</span 447 > 448 </p> 449 <p><span style="); font-family: Arial"> </span></p> 450 <h2><strong>12. Confidential Information</strong></h2> 451 <p><span style="); font-family: Arial"> </span></p> 452 <p> 453 <span style=")" 454 >An Affiliate may receive non-public information from Petfairs, such as unreleased product 455 information, private campaign details, internal pricing information, or confidential 456 business information.</span 457 > 458 </p> 459 <p> 460 <span style=")" 461 >Affiliates must not disclose information that Petfairs clearly identifies as confidential 462 or that a reasonable person would understand to be confidential.</span 463 > 464 </p> 465 <p> 466 <span style=")">This obligation does not apply to information that:</span> 467 </p> 468 <p><span style="); font-family: Arial"> </span></p> 469 <ul> 470 <li> 471 <span style=")"> 472 Is publicly available through no breach of these Terms;</span 473 > 474 </li> 475 <li> 476 <span style=")"> Was already lawfully known to the Affiliate;</span> 477 </li> 478 <li> 479 <span style=")"> Was independently developed by the Affiliate;</span> 480 </li> 481 <li> 482 <span style=")"> Was lawfully received from another source;</span> 483 </li> 484 <li><span style=")"> Must be disclosed by law.</span></li> 485 </ul> 486 <p> 487 <span style=")" 488 >Nothing in this section prevents an Affiliate from truthfully disclosing their affiliate, 489 sponsorship, commission, or other material relationship with Petfairs when required by 490 law or platform policy.</span 491 > 492 </p> 493 <p><span style="); font-family: Arial"> </span></p> 494 <h2><strong>13. Program Support</strong></h2> 495 <p><span style=")">Petfairs may provide Affiliates with:</span></p> 496 <p><span style="); font-family: Arial"> </span></p> 497 <ul> 498 <li><span style=")"> Referral links or codes;</span></li> 499 <li><span style=")"> Product information;</span></li> 500 <li><span style=")"> Images and videos;</span></li> 501 <li><span style=")"> Promotional materials;</span></li> 502 <li><span style=")"> Campaign information;</span></li> 503 <li><span style=")"> Product recommendations;</span></li> 504 <li><span style=")"> Sales or conversion information;</span></li> 505 <li><span style=")"> Affiliate dashboard access;</span></li> 506 <li><span style=")"> Reasonable Affiliate support.</span></li> 507 </ul> 508 <p> 509 <span style="); font-family: Arial" 510 >Petfairs may update, replace, or discontinue promotional materials and campaigns from time 511 to time.</span 512 > 513 </p> 514 <p><span style="); font-family: Arial"> </span></p> 515 <h2><strong>14. 546 <span style=")" 547 >These Terms become effective when the Affiliate is approved for the Program and remain 548 effective until participation ends.</span 549 > 550 </p> 551 <p> 552 <strong>The Affiliate may leave the Program at any time without penalty </strong 553 ><span style=")" 554 >by notifying Petfairs or using any available account termination method.</span 555 > 556 </p> 557 <p> 558 <span style=")" 559 >Petfairs may suspend or terminate an Affiliate account if the Affiliate:</span 560 > 561 </p> 562 <p><span style="); font-family: Arial"> </span></p> 563 <ul> 564 <li><span style=")"> Engages in fraud;</span></li> 565 <li><span style=")"> Manipulates referral tracking;</span></li> 566 <li><span style=")"> Violates applicable law;</span></li> 567 <li> 568 <span style=")"> Materially misuses Petfairs intellectual property;</span> 569 </li> 570 <li> 571 <span style=")"> Makes intentionally false or deceptive claims;</span> 572 </li> 573 <li><span style=")"> Materially breaches these Terms;</span></li> 574 <li> 575 <span style=")"> 576 Uses the Program in a way that reasonably creates significant legal, security, or 577 reputational risk.</span 578 > 579 </li> 580 </ul> 581 <p> 582 <span style=")" 583 >Where reasonably appropriate, Petfairs may provide the Affiliate an opportunity to correct 584 a non- fraudulent violation before termination.</span 585 > 586 </p> 587 <p> 588 <span style=")">There is </span 589 ><strong 590 >no termination or penalty solely because an Affiliate does not generate enough sales, 591 customers, posts, or referrals.</strong 592 > 593 </p> 594 <p><strong> </strong></p> 595 <p><span style="); font-family: Arial"> </span></p> 596 <h2><strong>16. Commissions After Termination</strong></h2> 597 <p><span style="); font-family: Arial"> </span></p> 598 <p> 599 <span style=")" 600 >Termination does not automatically cancel valid commissions earned from eligible 601 transactions completed before termination.</span 602 > 603 </p> 604 <p> 605 <span style=")" 606 >Petfairs will pay eligible outstanding commissions according to the normal settlement 607 process, except for commissions connected to fraud, refunds, chargebacks, invalid 608 transactions, or material violations directly related to those transactions.</span></p> 609 <p><span style="); font-family: Arial"> </span></p> 610 <p> 611 <span style=")" 612 >After termination, the Affiliate must stop representing themselves as an active Petfairs 613 Affiliate and discontinue use of Petfairs promotional materials where reasonably 614 requested.</span 615 > 616 </p> 617 <p><span style=")"> </span></p> 618 <h2><strong>17. Program Changes</strong></h2> 619 <p> 620 <span style=")" 621 >Petfairs may update the Program, commission rates, tracking methods, promotional materials, 622 or these Terms from time to time.</span 623 > 624 </p> 625 <p> 626 <span style=")" 627 >Material changes will apply prospectively and will be communicated through the Affiliate 628 dashboard, website, or email where reasonably practical.</span 629 > 630 </p> 631 <p> 632 <span style=")" 633 >Changes to future commission rates do not retroactively reduce commissions already validly 634 earned under the applicable terms at the time of the qualifying transaction.</span 635 > 636 </p> 637 <p> 638 <span style=")" 639 >An Affiliate who does not agree with a material change may leave the Program without 640 penalty.</span 641 > 642 </p> 643 <p><span style="); font-family: Arial"> </span></p> 644 <h2><strong>18. Platform Availability</strong></h2> 645 <p><span style="); font-family: Arial"> </span></p> 646 <p> 647 <span style=")" 648 >Petfairs will make reasonable efforts to maintain the Affiliate Program and tracking 649 systems but does not guarantee uninterrupted or error-free operation.</span 650 > 651 </p> 652 <p> 653 <span style=")" 654 >If a tracking issue occurs, Petfairs may review reasonable supporting information provided 655 by the Affiliate when determining whether a transaction qualifies for commission.</span 656 > 657 </p> 658 <p>
