Please also note that there may be specific terms or 4conditions applicable to you as a user in a given jurisdiction, as 5detailed below.</p> 6<p>Please refer to our Privacy Policy, available at <a href="https://solana.com/privacy-policy">link</a>, for 7information about how we collect, use, share and otherwise process 8information about you.</p> 9<p><strong>AGREEMENT TO TERMS</strong></p> 10<p>This End User License Agreement and Terms of Service (â<em>EULA</em>â or 11â<em>Terms</em>â) is a binding contract between you, an individual user or site 12visitor, whether personally or on behalf of an entity (â<em>user</em>,â 13â<em>you</em>,â â<em>your</em>â) and the Solana Foundation (the â<em>Foundation</em>,â 14â<em>we</em>,â â<em>us</em>â or â<em>our</em>â) concerning use of the Foundationâs services 15(the â<em>Service</em>â), including the <a href="https://solana.com/">www.solana.com</a> website as well as any 16other media form, media channel, or mobile website related, linked, or 17otherwise connected thereto (collectively, the â<em>Site</em>â). Currently, the 18Foundation maintains and operates 19<a href="https://solana.com/">www.solana.com</a> as a portal for news, 20information, and updates about the Solana protocol or blockchain (the 21âSolana Networkâ) and the Solana ecosystem. For the avoidance of doubt, 22the Foundation does not control the Solana Network and cannot control 23activity and data on the Solana Network, the activities of persons who 24develop and use applications on the Network, the validation of 25transactions on the Solana Network, or use of the Solana Network. Solana 26The Network is an open-source protocol that is maintained and processed 27by Solana Network validators across the globe.</p> 28<p>BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ, 29UNDERSTOOD, AND AGREE TO BE BOUND BY THE EULA. IF YOU DO NOT AGREE, 30PLEASE DO NOT USE THE SERVICE OR SITE.</p> 31<p>Supplemental terms and conditions or documents that may be posted on the 32Site from time to time are hereby expressly incorporated herein by 33reference. We reserve the right, in our sole discretion, to make changes 34or modifications to this EULA at any time and for any reason. We will 35alert you about any changes by updating the âLast updatedâ date of the 36EULA, and you waive any right to receive specific notice of each such 37change. It is your responsibility to periodically review the EULA to 38stay informed of updates. You will be subject to, and will be deemed to 39have been made aware of and to have accepted, the changes in any revised 40EULA by your continued use of the Service after the date such revised 41EULA is posted.</p> 42<p>The information provided on the Site is not intended for distribution to 43or use by any person or entity in any jurisdiction or country where such 44distribution or use would be contrary to law or regulation or which 45would subject us to any registration requirement within such 46jurisdiction or country. Accordingly, those persons who choose to access 47the Site from other locations do so on their own initiative and are 48solely responsible for compliance with local laws, if and to the extent 49local laws are applicable.</p> 50<p>The Service is intended for users who are at least 18 years old. You 51agree that by using the Site and the Service you are at least 18 years 52of age, or accessing the Service under the supervision of a parent or
53guardian, and you are legally able to enter into a contract. IT AFFECTS HOW 66DISPUTES BETWEEN YOU AND THE FOUNDATION ARE RESOLVED. BY ACCEPTING THIS 67EULA, YOU AGREE TO BE BOUND BY THIS ARBITRATION PROVISION. PLEASE READ 68IT CAREFULLY.</p> 69<p><strong>SCOPE OF LICENSE TO USERS</strong></p> 70<p>The Service is licensed, not sold, to you for use only under the terms 71of the EULA, subject to your complete and ongoing compliance with the 72terms and conditions of the EULA. The Foundation hereby grants you a 73personal, limited, revocable, non-transferable license to access and use 74the Service solely for your own use.</p> 75<p>You may not modify, alter, reproduce, or distribute the Service. You may 76not directly rent, lease, lend, sell, redistribute or sublicense the 77Service. You may not copy, decompile, reverse engineer, disassemble, 78attempt to derive the source code of, modify, or create derivative works 79of any portion of the Service, any updates, or any part thereof (except 80as and only to the extent any foregoing restriction is prohibited by 81applicable law), nor attempt to disable or circumvent any security or 82other technological measure designed to protect the Service or any 83content available through the Service. If you breach these license 84restrictions, or otherwise exceed the scope of the licenses granted in 85the EULA, then you may be subject to prosecution and damages, as well as 86liability for infringement of intellectual property rights, and denial 87of access to the Service.</p> 88<p>WITHOUT LIMITING ANY OTHER PROVISION OF THIS EULA, WE RESERVE THE RIGHT 89TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS 90TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO 91ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION 92FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN 93THIS EULA OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR 94USE OR PARTICIPATION IN THE SITE AT ANY TIME, WITHOUT WARNING, IN OUR 95SOLE DISCRETION. If we terminate or suspend your access to the Site for 96any reason, you are prohibited from attempting to access the Site under 97your name, a fake or borrowed name, or the name of any third party, even 98if you may be acting on behalf of the third party. In addition to 99terminating or suspending your access, we reserve the right to take 100appropriate legal action, including without limitation pursuing civil, 101criminal, and injunctive redress.</p> 102<p><strong>PROHIBITED ACTIVITIES</strong></p> 103<p>You may not access or use the Service for any purpose other than that 104for which we make the Service available. The Service may not be used in 105connection with any commercial endeavors except those that are 106specifically endorsed or approved by us.</p> 107<p>As a user of the Service, you agree not to:</p> tools.</p> 143</li> 144<li> 145<p>Interfere with, disrupt, or create an undue burden on the Site or 146the networks or services connected to the Site.</p> 147</li> 148<li> 149<p>Attempt to impersonate another user or person.</p> 150</li> 151<li> 152<p>Use any information obtained from the Site in order to harass, 153abuse, or harm another person.</p> 154</li> 155<li> 156<p>Use the Service as part of any effort to compete with us or 157otherwise use the Service and/or the content for any 158revenue-generating endeavor or commercial enterprise.</p> 159</li> 160<li> 161<p>Decipher, decompile, disassemble, or reverse engineer any of the 162software comprising or in any way making up a part of the Site.</p> 163</li> 164<li> 165<p>Harass, annoy, intimidate, or threaten any of our employees or 166agents engaged in providing any portion of the Service to you.</p> 167</li> 168<li> 169<p>Attempt to bypass any measures of the Site designed to prevent or 170restrict access to the Site, or any portion of the Site.</p> 171</li> 172<li> 173<p>Delete the copyright or other proprietary rights notice from any 174content.</p> 175</li> 176<li> 177<p>Copy or adapt the Siteâs software, including but not limited to 178Flash, PHP, HTML, JavaScript, or other code.</p> 179</li> 180<li> 181<p>Upload or transmit (or attempt to upload or to transmit) viruses, 182Trojan horses, or other material, including excessive use of capital 183letters and spamming (continuous posting of repetitive text), that 184interferes with any partyâs uninterrupted use and enjoyment of the 185Service or modifies, impairs, disrupts, alters, or interferes with 186the use, features, functions, operation, or maintenance of the 187Service.</p> 188</li> 189<li> 190<p>Upload or transmit (or attempt to upload or to transmit) any 191material that acts as a passive or active information collection or 192transmission mechanism, including without limitation, clear graphics 193interchange formats (âgifsâ), 1Ã1 pixels, web bugs, cookies, or 194other similar devices (sometimes referred to as âspywareâ or 195âpassive collection mechanismsâ or âpcmsâ).</p> 196</li> 197<li> 198<p>Except as may be the result of standard search engine or Internet 199browser usage, use, launch, develop, or distribute any automated 200system, including without limitation, any spider, robot, cheat 201utility, scraper, or offline reader that accesses the Site, or using 202or launching any unauthorized script or other software.</p> 203</li> 204<li> 205<p>Disparage, tarnish, distribute hate speech/explicit content or 206otherwise harm, in our opinion, us, the Service and/or other users 207of the Service.</p> 208</li> 209<li> 210<p>Copy, reproduce, distribute, publicly perform or publicly display 211all or portions of our Service, except as expressly permitted by us 212or our licensors.</p> 213</li> 214<li> 215<p>Modify our Service, remove any proprietary rights notices or 216markings, or otherwise make any derivative works based upon our 217Service.</p> 218</li> 219<li> 220<p>Infringe any patent, trademark, trade secret, copyright or other 221intellectual or proprietary right of the Foundation or any third 222party.</p> 223</li> 224<li> 225<p>Use the Service in a manner inconsistent with any applicable laws or 226regulations.</p> 227</li> 228</ol> 229<p><strong>SITE MANAGEMENT</strong></p> 230<p>We reserve the right, but not the obligation, to: (1) monitor the Site 231for violations of this EULA; (2) take appropriate legal action against 232anyone who, in our sole discretion, violates the law or this EULA, 233including without limitation, reporting such user to law enforcement 234authorities; (3) in our sole discretion and without limitation, notice, 235or liability, to remove from the Site or otherwise disable all files and 236content that are excessive in size or are in any way burdensome to our 237systems; and (4) otherwise manage the Site in a manner designed to 238protect our rights and property and to facilitate the proper functioning 239of the Site.</p> 240<p><strong>TRADEMARKS</strong></p> 241<p>âSolanaâ and our logos, our product or service names, our slogans and 242the look and feel of the Service are trademarks of the Foundation and 243may not be copied, imitated or used, in whole or in part, without our 244prior written permission, which may be obtained by emailing 245<a href="mailto:[email protected]">[email protected]</a>. All other trademarks, registered 246trademarks, product names and company names or logos mentioned on the 247Service are the property of their respective owners. Reference to any 248products, services, processes or other information by trade name, 249trademark, manufacturer, supplier or otherwise does not constitute or 250imply endorsement, sponsorship or recommendation by us.</p> 251<p><strong>DISPUTE RESOLUTION</strong></p> 252<p>**Please read the following section carefully because it requires you to 253arbitrate certain disputes and claims with the Foundation and limits the 254manner in which you can seek relief from us, unless you opt out of 255arbitration by following the instructions set forth below. No class or 256representative actions or arbitrations are allowed under this 257arbitration provision. **In addition, 258arbitration precludes you from suing in court or having a jury trial. **</p> 259<p>(a) <strong>No Representative Actions. You and the Foundation agree that any 260dispute arising out of or related to this EULA or the Service is 261personal to you and the Foundation and that any dispute will be 262resolved solely through individual action, and will not be brought 263as a class arbitration, class action or any other type of 264representative proceeding.</strong></p> 265<p>(b) <strong>Arbitration of Disputes. You and the Foundation</strong> <strong>waive your 266rights to a jury trial and to have any other dispute arising out of
267or related to this EULA and the Service, including claims related to 268privacy and data security, (collectively, â<em>Disputes</em>â) resolved in 269court</strong>. Instead, for any Dispute that you have against the 270Foundation you agree to first contact the Foundation and attempt to 271resolve the claim informally by sending a written notice of your 272claim (â<em>Notice</em>â) to the Foundation by email at 273<a href="mailto:[email protected]">[email protected]</a> or by certified mail addressed to 274Industriestrasse 47, 6300 Zug, Switzerland. The Notice must (a) 275include your name, residence address, email address, and telephone 276number; (b) describe the nature and basis of the Dispute; and (c) 277set forth the specific relief sought. Our notice to you will be 278similar in form to that described above. If you and the Foundation 279cannot reach an agreement to resolve the Dispute within thirty (30) 280days after such Notice is received, then either party may submit the 281Dispute to binding arbitration administered by JAMS or, under the 282limited circumstances set forth above, in court. All Disputes 283submitted to JAMS will be resolved through confidential, binding 284arbitration before one arbitrator. Arbitration proceedings will be 285held in Zug, Switzerland. You and the Foundation agree that Disputes 286will be held in accordance with the JAMS Streamlined Arbitration 287Rules and Procedures (â<em>JAMS Rules</em>â). The most recent version of 288the JAMS Rules are available on the <a href="https://www.jamsadr.com/rules-streamlined-arbitration/"><em>JAMS 289website</em></a> 290and are hereby incorporated by reference. You either acknowledge and 291agree that you have read and understand the JAMS Rules or waive your 292opportunity to read the JAMS Rules and waive any claim that the JAMS 293Rules are unfair or should not apply for any reason.</p> 294<p>(c) You and the Foundation agree that these Terms affect interstate 295commerce and that the enforceability of this Section will be 296substantively and procedurally governed by the Federal Arbitration 297Act, 9 U.S.C. § 1, <em>et seq</em>. (the â<em>FAA</em>â), to the maximum extent 298permitted by applicable law. As limited by the FAA, these Terms and 299the JAMS Rules, the arbitrator will have exclusive authority to make 300all procedural and substantive decisions regarding any Dispute and 301to grant any remedy that would otherwise be available in court, 302including the power to determine the question of arbitrability. The 303arbitrator may conduct only an individual arbitration and may not 304consolidate more than one individualâs claims, preside over any type 305of class or representative proceeding or preside over any proceeding 306involving more than one individual.</p> 307<p>(d) The arbitration will allow for the discovery or exchange of 308non-privileged information relevant to the Dispute. The arbitrator, 309the Foundation, and you will maintain the confidentiality of any 310arbitration proceedings, judgments and awards, including information 311gathered, prepared and presented for purposes of the arbitration or 312related to the Dispute(s) therein. The arbitrator will have the 313authority to make appropriate rulings to safeguard confidentiality, 314unless the law provides to the contrary. The duty of confidentiality 315does not apply to the extent that disclosure is necessary to prepare 316for or conduct the arbitration hearing on the merits, in connection 317with a court application for a preliminary remedy or in connection 318with a judicial challenge to an arbitration award or its 319enforcement, or to the extent that disclosure is otherwise required 320by law or judicial decision.</p> 321<p>(e) You and the Foundation agree that for any arbitration you initiate, 322you will pay the filing fee (up to a maximum of $250 if you are a 323consumer), and the Foundation will pay the remaining JAMS fees and 324costs. For any arbitration initiated by the Foundation, the 325Foundation will pay all JAMS fees and costs. You and the Foundation 326agree that the Kanton of Zug shall have exclusive jurisdiction over 327any appeals and the enforcement of an arbitration award. 328[]{#h.lnxbz9 .anchor}</p> 329<p>(f) <strong>Any Dispute must be filed within one year after the relevant claim 330arose; otherwise, the Dispute is permanently barred, which means 331that you and the Foundation will not have the right to assert the 332claim.</strong> []{#h.35nkun2 .anchor}</p> 333<p>(g) <strong>You have the right to opt out of binding arbitration within 30 334days of the date you first accepted the terms of this Section by 335mailing an opt-out notice to the Foundation at Industriestrasse 47, 3366300 Zug, Switzerland</strong>. In order to be effective, the opt-out 337notice must include your full name and address and clearly indicate 338your intent to opt out of binding arbitration. By opting out of 339binding arbitration, you are agreeing to resolve Disputes in 340accordance with the governing law and venue terms of this EULA.</p> 341<p>(h) If any portion of this Section is found to be unenforceable or 342unlawful for any reason, (a) the unenforceable or unlawful provision 343shall be severed from these Terms; (b) severance of the 344unenforceable or unlawful provision shall have no impact whatsoever 345on the remainder of this Section or the partiesâ ability to compel 346arbitration of any remaining claims on an individual basis pursuant 347to this Section; and (c) to the extent that any claims must 348therefore proceed on a class, collective, consolidated, or 349representative basis, such claims must be litigated in a civil court 350of competent jurisdiction and not in arbitration, and the parties 351agree that litigation of those claims shall be stayed pending the 352outcome of any individual claims in arbitration. Further, if any 353part of this Section is found to prohibit an individual claim
354seeking public injunctive relief, that provision will have no effect 355to the extent such relief is allowed to be sought out of 356arbitration, and the remainder of this Section will be enforceable.</p> 357<p><strong>GOVERNING LAW AND VENUE</strong></p> 358<p>Any dispute arising from these Terms and your use of the Service will be 359governed by and construed and enforced in accordance with the laws of 360Switzerland. Any dispute between the parties that is not subject to 361arbitration will be resolved in Zug, Switzerland.</p> 362<p><strong>CORRECTIONS</strong></p> 363<p>There may be information on the Site that contains typographical errors, 364inaccuracies, or omissions, including descriptions, pricing, 365availability, and various other information. We reserve the right to 366correct any errors, inaccuracies, or omissions and to change or update 367the information on the Site at any time, without prior notice. The 368Foundation does not warrant that the content will be uninterrupted or 369error free or free of computer viruses, contaminants or other harmful 370items.</p> 371<p><strong>DISCLAIMER</strong></p> 372<p>THE SITE AND SERVICE IS PROVIDED ON AN âAS-ISâ AND âAS-AVAILABLEâ BASIS. 373TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOUNDATION WILL NOT BE 374LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITE OR 375SERVICE, INCLUDING, BUT NOT LIMITED TO INDIRECT, INCIDENTAL, PUNITIVE, 376EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN 377ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT YOUR USE OF 378THE SITE AND SERVICE WILL BE AT YOUR SOLE RISK. THE FOUNDATION IS NOT 379RESPONSIBLE FOR ANY DAMAGES OR LOSSES THAT RESULT FROM YOUR USE OF THE 380SERVICE, INCLUDING, BUT NOT LIMITED TO, YOUR USE OR INABILITY TO USE THE 381SERVICE; ANY CHANGES TO OR INACCESSIBILITY OR TERMINATION OF THE 382SERVICE; ANY DELAY, FAILURE, UNAUTHORIZED ACCESS TO, OR ALTERATION OF 383ANY TRANSMISSION OR DATA; ANY TRANSACTION OR AGREEMENT ENTERED INTO 384THROUGH THE SERVICE; ANY ACTIVITIES OR COMMUNICATIONS OF THIRD PARTIES; 385OR ANY DATA OR MATERIAL FROM A THIRD PERSON ACCESSED ON OR THROUGH THE 386SERVICES. The Notice must (a)\ninclude your name, residence address, email address, and telephone\nnumber; (b) describe the nature and basis of the Dispute; and (c)\nset forth the specific relief sought. Our notice to you will be\nsimilar in form to that described above. If you and the Foundation\ncannot reach an agreement to resolve the Dispute within thirty (30)\ndays after such Notice is received, then either party may submit the\nDispute to binding arbitration administered by JAMS or, under the\nlimited circumstances set forth above, in court. All Disputes\nsubmitted to JAMS will be resolved through confidential, binding\narbitration before one arbitrator. Arbitration proceedings will be\nheld in Zug, Switzerland. You and the Foundation agree that Disputes\nwill be held in accordance with the JAMS Streamlined Arbitration\nRules and Procedures (â\u003cem\u003eJAMS Rules\u003c/em\u003eâ). The arbitrator will have the\nauthority to make appropriate rulings to safeguard confidentiality,\nunless the law provides to the contrary. The duty of confidentiality\ndoes not apply to the extent that disclosure is necessary to prepare\nfor or conduct the arbitration hearing on the merits, in connection\nwith a court application for a preliminary remedy or in connection\nwith a judicial challenge to an arbitration award or its\nenforcement, or to the extent that disclosure is otherwise required\nby law or judicial decision.\u003c/p\u003e\n\u003cp\u003e(e) You and the Foundation agree that for any arbitration you initiate,\nyou will pay the filing fee (up to a maximum of $250 if you are a\nconsumer), and the Foundation will pay the remaining JAMS fees and\ncosts. For any arbitration initiated by the Foundation, the\nFoundation will pay all JAMS fees and costs. In order to be effective, the opt-out\nnotice must include your full name and address and clearly indicate\nyour intent to opt out of binding arbitration.
